OIL & GAS TRANSACTIONAL ASSOCIATE ATTORNEY

Location : Houston, TX

ON-SITE

Our client, a prestigious AmLaw 100 firm with a nationally recognized Energy practice , is seeking a talented Oil & Gas Transactional Associate Attorney to join its Houston office. This is an excellent opportunity for a mid-level associate to gain hands-on experience in complex transactions across the traditional energy sector, with the ability to work on both established oil and gas matters and innovative energy transition projects.

Candidate Profile

  • JD from a top-tier law school with a strong academic record .

Active Bar Admission in Texas , in good standing.

  • Candidates relocating to Houston and willing to gain admission within the first year of employment are also welcome to apply.
  • 4+ years of substantive experience in energy-related corporate transactions .

    • Background in one or more of the following within the upstream and midstream oil and gas sectors :

  • Mergers and acquisitions (M&A), divestitures , joint ventures , development agreements , operating agreements , and / or commercial contracts .
  • Experience drafting and negotiating gathering , transportation , processing , supply , and offtake agreements related to carbon capture and energy transition projects is highly valued .
  • Strong drafting, negotiation, and analytical skills; business-oriented approach to client service; and ability to manage complex matters within a collaborative team environment.

    • Key Responsibilities

  • Advise clients on transactional matters in the energy industry , including upstream and midstream oil and gas , as well as emerging energy transition projects .
  • Draft , review , and negotiate a wide range of agreements, including gathering, transportation, processing, supply, offtake, joint venture, and operating agreements.
  • Support clients on M&A transactions , divestitures , and project development initiatives.
  • Provide strategic legal advice tailored to client business objectives and regulatory considerations.
  • Collaborate with colleagues across practice groups to provide integrated solutions to energy clients.
  • Engage with clients directly, building long-term relationships through clear communication and practical, business-focused legal counsel.

    Compensation & Benefits

  • Competitive Compensation : Annual base salary is expected to start at $310,000+ , depending on experience, qualifications, and market factors.
