Job Title : Senior Counsel, Commercial and Technology Business

Location : Chicago, IL (Hybrid 3 days in office per week)

Type : Direct Hire, FTE

Chamberlain Advisors is currently seeking a Commercial and Technology Business for our direct client in the financial services industry.

The ideal candidate will provide expert legal counsel on commercial, technology, and transactional matters. The attorney will draft, review, and negotiate technology-related agreements, manage legal risks, and collaborate with internal stakeholders to support our client's business and IT transactional operations.

Licensed Attorney in the State of Illinois (having passed the Illinois Bar Examination).

What You Will Be Accountable For

  • Draft, review, and negotiate contracts with an emphasis on technology agreements, including SaaS, software licenses, and professional services.
  • Identify, manage, and propose solutions to mitigate legal risks related to transactions, technology, data, security, and operations.
  • Administer policies and procedures for the commercial transactions team, including associated controls.
  • Conduct research and provide analysis on various commercial legal issues.
  • Collaborate with internal stakeholders across departments including Strategic Sourcing, IT, Third-Party Risk Management, and Information Security, on legal matters.
  • Implement Process Improvement, such as establishing forms, templates, and contract processes to ensure best practices and identify gaps.
  • Identify and apply marketplace best practices, collaborating with other transactional attorneys to enhance existing practices.

What Qualifications You Need

  • Bachelor’s degree from an accredited college or university.
  • Juris Doctor or equivalent degree from an ABA-accredited law school.
  • 5-10 years of relevant commercial transactions experience at a law firm or corporate in-house position.
  • In-house experience with IT transactions preferred.
  • Proven ability to structure, draft, review, and negotiate complex technology-related agreements.
  • Preferred : Familiarity with securities and commodity laws, and experience working with regulatory agencies or financial institutions.
  • Preferred : General knowledge of clearance, settlement, and risk management functions within a clearing organization.
  • Proficiency in Microsoft Office (Excel, Word).
  • Licensed attorney in the state of Illinois (having passed the Illinois Bar Examination).
  • Experience in financial services due to the highly regulated nature of the role.
