Assistant General Counsel
We are working with a large Company that is interested in adding a talented attorney. The Attorney must be a valued business partner and will provide support, legal counsel and advice to a large business unit including drafting and negotiating commercial contracts (on both the procurement and sales side), advising the business on all types of substantive commercial matters, litigation, dispute resolution, mergers & acquisitions, and regulatory compliance .
The Candidate should have experience working with a manufacturing or industrial Company.
Responsibilities :
The person will be responsible for preparing, reviewing, and negotiating various commercial and transactional agreements as well as working collaboratively with internal clients in North America on a variety of legal matters.
The position will be responsible for identifying legal issues, risks and proposing alternative structures to mitigate such risks.
The position will provide timely, value-driven, practical, and innovative legal solutions that will enable the business to meet its objectives .
This person will assist with strategic initiatives and other discrete projects impacting the business segment.
Requirements :
- JD from an accredited top-tier law school
- Minimum of 12+ years legal experience
- Must be a member in good standing of a State Bar.
- Experience counseling senior management and a track record of providing valuable business advice in addition to legal advice.
- Experience with handling and managing various claims as well as commercial, product, and collections-related litigation from inception to dispute resolution.
- Experience in managing all aspects of merger and acquisition transactions including due diligence, contract drafting, and negotiation and integration issues.
- The Company prefers the attorney to come from manufacturing or industrial space

- Successful at pushing back with internal clients while maintaining a solid long-term relationship.
