Bessemer Trust is seeking an Assistant General Counsel to join the firm’s Legal Department. The Assistant General Counsel will be responsible for negotiating commercial and technology agreements, reviewing marketing materials, and advising on bank and securities regulatory matters for a privately-held wealth management firm that includes a bank holding company, state and national banks and trust companies, an SEC registered investment adviser, and an SEC registered broker-dealer.

This position is ideal for a talented and motivated attorney who excels in a collaborative, team-oriented environment and who has experience advising clients in financial services navigate legal issues in areas that include technology, social media, marketing (including digital marketing), and intellectual property.
Key Responsibilities
- Review and negotiate a wide range of commercial agreements, with an emphasis on procurement of technology, as well as other products and services contracts, including software license agreements, professional services agreements, and statements of work
- Advise on matters involving intellectual property, data governance and privacy, digital marketing, and website development
- Advise and support the vendor management function on matters relating to 3rd party risk, governance, and regulatory developments
- Review marketing, RFPs and other communication materials and advise on related firm-wide initiatives across relevant communication channels
- Develop and refine applicable policies and procedures in core areas of focus
- Stay abreast of changes in relevant laws and regulations
- Assist with and / or take the lead on special projects and assignments as needed
Qualifications
- JD from an accredited law school, and member in good standing of the New York or New Jersey bar
- 5+ years of professional experience in a law firm and / or in-house in financial services
- Experience negotiating commercial agreements (including technology and outsourcing agreements); knowledge of data protection and privacy laws a plus
- Excellent analytical, written and oral communication skills
- Prudent and practical judgment and high level of integrity
- Ability to collaborate effectively with cross-disciplinary teams
- Ability to handle multiple tasks and prioritize effectively; effective project management skills
The base salary range for this position is $250K - $290K. Actual salaries will vary and will be based on various factors, such as skills, experience, and qualification for the role.
It is not typical for offers to be made at or near the top of the range.
In addition, this position may be eligible for a discretionary incentive-based bonus based on individual and company performance.
Eligible employees may participate in a 401 (K) program with a company profit sharing contribution, medical, dental, vision, life insurance and disability covering and paid holidays, vacation, and sick days.
