Summary
The Senior Legal Specialist, Corporate Secretary is responsible to function as an independent business partner and knowledge base in the areas of corporate governance and entity management, including subsidiary compliance, maintenance, and development worldwide.
The position also will assess the ongoing status of our entities to determine structure feasibility, as well as independently analyze matters, provide insights and make recommendations and decisions.

Responsibilities
- Mission-oriented and performance-driven individual, with strong collaboration and relationship-building skills.
- Ensuring accurate and punctual corporate governance compliance for parent companies and their product and service business subsidiaries (annual filings, KYC / UBO requests and directorships)
- Independently organizing, reviewing and providing analysis and insight on subsidiary compliance, maintenance, creation and dissolution processes and implementation (including collaborating with legal, business and functional experts), using independent judgment to recommend improvements or other revisions thereto;
and independently implementing the same upon approval thereof.
- Acting as business partner, including analyzing matters, providing insights and making recommendations and decisions
- Independently responding to various compliance and other government and banking requests for domestic and international subsidiaries providing the least amount of information permitted;
using independent judgment to suggest improvements needed as a result of any such request.
Working with functional groups and acting as knowledge base regarding country-specific UBO / KYC requirements, credit facilities, dividend declarations and periodic filings and Powers of Attorney;
and then implementing action points
- Independently issue-spot and problem solve in all areas of responsibility
- Reviewing and analyzing agreements, corporate documentation and other matters as requested
- Establishing, nurturing, monitoring, and managing relationships with local corporate governance firms across the globe
- Maintaining all corporate governance documentation in an organized and efficient manner

Number of Overall Years Necessary : 8-12
Education Requirements
- Bachelor’s degree
- ABA Paralegal Certification preferred
Specialized Skills / Technical Knowledge
- Ability to work independently high degree of self-direction and motivation with good teamwork and people skills
- Ability to take on higher levels of responsibility, utilizing advanced knowledge of legal concepts to be highly accountable for moderately complex legal matters
- Strong analytical skills, including strategic and business function considerations
- Well-organized and efficient; able to prioritize, multi-task and meet multiple deadlines promptly
- Ability to communicate with Directors and Officers, global business units, local councils and government entities, and ability to gain the trust and confidence of all the foregoing
- Experience successfully working in cross functional groups
- Excellent client service skills and ability to work under pressure
- Critical attention to details
- Familiarity with large and multi-faceted corporate entity structures, such as corporations and LLCs and statutory trusts
- Familiarity with KYC / UBO and delegation of authority / powers of attorney
- Developed and demonstrated drafting skills
- Experience working on international companies, preferred
