WHO WERE SNIFFING FOR
As a member of BARKs Legal Team, the Director & Assistant General Counsel SEC & Compliance, will serve as a strategic legal advisor to the General Counsel.
As a direct report to the General Counsel, the selected candidate will play a pivotal role in adherence to best practice for SEC reporting, regulatory compliance, board governance & risk management within a dynamic corporate environment.
In addition, the successful candidate will advise & consult on strategic issues & advancing the companys business objectives.
KEY DUTIES
Manage all legal aspects of the companys business related to SEC reporting & other disclosure-related regulation including Regulation FD & preparing & filing the companys Proxy Statement,10-K, 10-Q, & Form 8-K.
Ensure timely & accurate disclosure of material information in compliance with applicable regulations. Partner cross-functionally to create & implement new processes & controls that improve current practices.
- Stay abreast of evolving securities laws & regulations to ensure organizational compliance. Advise stakeholders on regulatory requirements pertaining to securities offerings, disclosure obligations, insider trading, & corporate governance matters.
- Help develop & prepare for Board & Committee Meetings, set Board Calendar, draft resolutions & minutes, oversee & administer equity plans.
- Draft, update and / or implement compliance policies & procedures as needed tailored to the organization's business activities & regulatory environment.
- Collaborate with internal stakeholders to develop effective compliance & risk management strategies & training programs & participate in internal investigations as needed.
- Provide legal support & due diligence for public offerings, mergers, acquisitions, & other partnerships & transactions & manage legal aspects (including engagement of external counsel) of related negotiations & financings, in conjunction with the General Counsel & the companys Finance & Treasury functions.
- Provide proactive advice to mitigate risks & enhance compliance controls.
EXPERIENCE
- 7+ years of legal experience, including time spent in a top-tier law firm and / or in-house at a publicly traded company in roles of increasing scope & leadership responsibility.
- Experience working directly with & supporting executive leadership & public company boards.
- Background working across a range of legal disciplines, with strong knowledge of corporate, regulatory, & public company governance.
SKILLS & QUALIFICATIONS
- MUST LOVE DOGS (this is non-negotiable)
- A JD from an ABA-accredited law school & having an active membership in good standing in NY and / or other state bar.
- Ability to manage multiple projects simultaneously & work effectively under pressure.
- Ability to take on new responsibilities as needed by the company including litigation, international growth, cybersecurity & data privacy, & contract drafting & negotiation.
- A strong natural leader with high integrity.
- Excellent communication with experience interacting with Board members, senior management, finance, compliance & risk management team members & other internal stakeholders.
- A business-oriented approach to legal practice & work generally & a commercial orientation with sound judgement. An individual who approaches legal questions by creatively thinking through how best to accomplish business goals, & who is an active business partner who proactively identifies ways to support the business from a legal & a non-legal perspective.

PAY TRANSPARENCY
FOR CO / NJ / NY BASED APPLICANTS :
- The base salary range for this position in NY is $210,000-$280,000
- This position is eligible for equity
This compensation range is based on BARKs good faith estimate as of the date of this posting & may be modified in the future.
Actual pay for this position will depend on a variety of variables including location, travel, internal equity, experience, education, skills & expertise.
