Position Summary :

We are seeking an In-House Counsel who will serve as the primary legal advisor. The successful candidate will be responsible for providing comprehensive legal support across various areas including estate and trust management, real estate, corporate governance, and investments.

He / she will also manage and coordinate with outside counsel for complex legal matters as appropriate.

This role requires a highly ethical, detail-oriented individual with exceptional integrity and a strong background in the relevant legal areas.

Key Responsibilities :

Estate and Trust Management :

  • Oversee the legal aspects of the existing portfolio of trusts and support new estate planning initiatives.
  • Advise on estate planning strategies and draft relevant documents such as wills, trusts, and powers of attorney.
  • Ensure compliance with estate and trust laws and regulations.
  • Collaborate with outside counsel on sophisticated estate planning and trust administration issues.

General Corporate Oversight :

  • Provide support on corporate governance matters, including the development and implementation of policies and procedures.
  • Advise on regulatory compliance, risk management, and corporate best practices.
  • Draft, review, and negotiate various corporate contracts and agreements.
  • Manage and coordinate outside counsel on specialized corporate legal matters as needed to ensure alignment with company goals and objectives.
  • Evaluate and negotiate fee arrangement and monitor legal budgets and expenditures.

Real Estate :

Assist the real estate team and work with outside counsel, as appropriate, on contracts, compliance, acquisitions, dispositions, leasing, joint ventures, and financing.

Investments :

  • Provide legal support for diversified investments, including private equity, venture capital, and other direct investments.
  • Review and negotiate investment agreements, partnership agreements, and other related documents.
  • Advise on regulatory and compliance issues related to investment activities.
  • Coordinate with outside counsel on complex investment matters.

Qualifications :

  • A law degree from an accredited law school is required and a state bar license in good standing to practice law in California.
  • Minimum 7+ years of legal experience, including experience in both public and private sectors.
  • Proven experience in commercial real estate transactions and corporate governance.
  • Strong understanding of estate and trust law and regulations.
  • Prior experience working in a family office is a plus but not required.
  • Demonstrates high ethical standards and integrity in all legal and business dealings.
  • Excellent communication skills with the ability to clearly convey complex legal concepts with internal and external stakeholders.
  • Exceptional written communication skills, with the ability to draft and execute legal documents.
  • Superior negotiation skills.
  • Strong analytical and problem-solving skills with the ability to identify and mitigate risks.
  • Ability to collaborate with internal teams and external partners to achieve the best outcomes.
  • Strong organizational skills with the ability to manage multiple projects simultaneously.
  • High attention to detail and ensures accuracy.
  • Experience in managing outside counsel and legal budgets.
