Corporate Governance Paralegal

Senior Corporate Paralegal - Houston, Texas

Our client is seeking a Senior Corporate Paralegal with 8+ years of recent corporate governance experience. Bachelor's Degree Preferred.

Responsibilities will include, but are not limited to :

• Manage domestic subsidiaries including corporate minute books, preparing / processing / filing regulatory state filings and maintaining all corporate records.
• Coordinate & prepare all corporate documents required to form corporations (amendments, withdrawals, mergers and dissolutions of corporation, etc.).
• Prepare for international BOD meetings, including drafting agendas, resolutions, memos and minutes.
• Create presentations and electronic minute books.
• Manage board and meeting distributions.
• Prepare and coordinate materials and training.
