Direct Counsel is representing an AmLaw 100 firm in the search for a Transactional Associate with 1-3 years of experience to join its Environmental Risk Management Team in Philadelphia. This is an excellent opportunity to work on high-profile, transaction-focused environmental matters in a collaborative, client-facing practice.

Key Responsibilities :

• Perform environmental due diligence for real estate and M&A transactions, including brownfields development projects.
• Structure solutions to environmental risks through remedial strategies, specialty insurance programs, and negotiated contracts and agreements.
• Draft and review transactional documents, including purchase agreements, loan agreements, liability transfer agreements, and ancillary documents .
• Collaborate closely with clients and internal teams, providing transaction-driven legal solutions .
• Engage in deal negotiation and drafting , with significant client interaction throughout the transaction lifecycle.
