Description :
The Associate will join the firm’s dedicated Nonprofit & Tax-Exempt Organizations Team, working directly with nonprofit clients on a wide array of matters, including :
Advising clients on entity formation, recognition of tax-exempt status, compliance, governance, and fundraising.Researching and analyzing federal, state, and local laws impacting tax-exempt entities.Supporting clients in gift planning, endowments, restricted funds, and matters under UPMIFA.Providing tax analysis and legal support for mergers, joint ventures, program-related investments (PRIs), and mission-related investments (MRIs).Drafting and reviewing contracts, policies, governance documents, and legal memoranda.Engaging with clients on charitable giving and estate planning considerations.Staying current on evolving laws and precedents affecting exempt organizations.Participating in public speaking, writing, and business development to grow subject-matter expertise.Qualifications :
J.D. from an accredited law school with strong academic performance3–5 years of experience in tax and exempt organization mattersAdmission to practice in TX, MA, PA, or FL (or ability to obtain promptly)Substantial tax law experience, with focus on nonprofit organizationsExcellent research, writing, and communication skillsStrong organizational skills and ability to manage multiple projectsDemonstrated client-service orientationPreferred Skills :
LL.M. in TaxExperience advising healthcare nonprofits or supporting organizations, social welfare organizations, community foundations, or donor-advised fundsFamiliarity with corporate governance for nonprofit corporationsExperience with charitable gift planning and estate planning for tax-exempt entitiesPrior involvement in mergers or complex nonprofit transactionsBusiness development interest and public speaking / writing experienceLegal Notice :
