We're partnered with a prestigious international law firm on a search for an experienced Corporate Paralegal in Denver. This position is an opportunity to play a critical role in providing high-level transactional support across complex corporate matters for both emerging growth companies and established public entities.

Key responsibilities include :

• Manage entity formation, ongoing corporate maintenance, and dissolution processes
• Facilitate transaction closings and develop related legal documents for complex corporate deals
• Draft legal opinion letters and compile supporting documentation packages
• Prepare and submit corporate and securities filings with regulatory authorities across multiple jurisdictions
• Oversee corporate record organization and conduct comprehensive due diligence examinations
• Conduct Blue Sky regulatory research and prepare required state securities filings
• Generate stock certificates and maintain accurate capitalization tables and equity compensation records
