Key
Assist in the formation, maintenance, and dissolution of corporate entities
Coordinate closings and prepare related documents
Draft and file corporate and securities filings
Organize corporate records and conduct due diligence reviews
Prepare stock certificates and maintain capitalization tables and option records
Research Blue Sky issues and prepare required filings
Train junior paralegals
Required Skills and
Bachelor’s degree
3-5+ years of transactional experience in Private Equity, Capital Markets, and M&A matters
Available to work overtime, as required
Proficiency in the Microsoft Office suite, advanced knowledge of Excel preferred
Familiarity with web-based equity tracking system such as Carta
Previous law firm experience
Strong attention to detail with the ability to manage multiple priorities and track extensive details to deliver excellent client service
Superior oral and written communication skills; topflight organizers wanted
Must be able to thrive in an atmosphere where people-positive communication skills are valued.
Ability to handle confidential information sensitively and discreetly
