Paralegal

Overview The Paralegal assists the General Counsel in handling legal, contractual, and regulatory matters.  The majority of the Paralegal’s work will involve reviewing contracts through an established company procurement process, examining employees’ financial disclosure statements to identify potential conflicts of interest, keeping the company up-to-date on a myriad of state laws such as application privacy notice requirements, employment laws, and business registration laws.  The paralegal will also be responsible for conducting legal research and writing legal memoranda on a wide variety of issues.

Responsibilities Conduct legal research and write legal memoranda.

Draft and review legal documents including contracts, engagement letters, and letters of legal representation.

Special attention is required in reviewing proposed federal subcontracts to ensure compliance with the requirements of the company’s federal contract, federal acquisition regulations (FAR) and the required federal flow-down requirements.

Work with other teams in the company to ensure full compliance with the company’s client contract terms and conditions.

Review employees’ financial disclosure statements to identify any potential conflicts of interest.

Organize and maintain legal files and contract management systems.

Ensure the company is compliant with the states’ business registration and reporting requirements in all the various states in which the company does business and / or has employees.

Ensure the company is aware of the employment-related laws of each state in which the company employees are working and assist the Human Resources team in achieving and / maintaining compliance.

Ensure the company is compliant with the computer application privacy laws of the states that have such requirements.

Ensure the filing of all legal and regulatory documents and monitor compliance with relevant laws and regulations.

Keep abreast of legislative and regulatory changes that might affect the company.

Provide or arrange for training for company employees on various legal topics Monitor and manage deadlines.

Maintain confidentiality of all company and client information.

Other duties as requested by General Counsel or company owners.    Qualifications and Education Associate's degree or bachelor’s degree in legal studies, or a related field.

Paralegal certificate from an ABA-approved program (preferred).

Minimum 3 years of paralegal experience in a law firm or in-house corporate legal department.

Prior experience with a federal government contractor preferred.

Familiarity with FAR Excellent written and verbal communication skills.

Ability to manage multiple priorities and meet deadlines under pressure.

High attention to detail and strong organizational skills.

High degree of ethics and integrity.      Excellent judgment and analytical skills.      Proficiency with technology (Microsoft Office Suite, legal research tools (e.g., LexisNexis), document management software (SharePoint, Confluence / JIRA), Web applications, and in-house custom databases).     The person holding this position must remain current with all required licensing, certifications, and continuing education requirements necessary for the position.   Education Substitutions Juris Doctorate degree may be substituted for 3 years of required experience.
