Overview
Corporate Governance & SEC Compliance Paralegal - Guardian Pharmacy. Reports to the VP, General Counsel & Senior Compliance Officer. Supports day-to-day legal operations in public company securities compliance, public company reporting and corporate governance. This on-site role is based in Atlanta, Georgia.
Responsibilities
- Support the planning, scheduling and preparation of materials (agenda, minutes and resolutions) for Board of Director meetings. Manage the distribution of materials to Board members.
- Assist in preparing and filing SEC reports, including Forms 10-K, 10-Q, 8-K, Proxy Statements, and Section 16 filings (Forms 3, 4, and 5).
- Conduct research and provide recommendations related to SEC and NYSE filings, securities laws and governance practices.
- Assist with management of certain Company policies, including insider trading, related party transactions, and disclosure. Track and report stock transactions for Section 16 insiders to ensure compliance with insider trading policies.
- Create and maintain organized files, records, contact lists, and databases to support the Corporate Secretary's office. Implement and manage systems to improve efficiency and workflow.
- Maintain and update corporate ownership records, including stock ledgers and equity compensation documentation.
- Update and draft corporate governance and compliance policies and procedures.
- Provide legal support for the team's review of internal and external corporate communications and investor relations materials.
- Assist with matters related to share issuances, including drafting letters and opinions (e.g., Rule 144) to stock transfer agents and communications with state and local agencies.
- Interface with and respond to inquiries from internal and external stakeholders on corporate governance matters.
- Support other special projects within the Securities and Governance legal department, including organization, review and project management related to corporate subsidiaries and board matters.
- Provide general paralegal support as time allows.
Qualifications
Education and / or Certifications :
Bachelor's degree or equivalent practical experience.Paralegal certificate preferred.Skills and Qualifications :
5+ years of experience as a corporate governance or securities paralegal, and board support preferably in a public company.Strong knowledge of SEC reporting requirements, corporate governance practices, and public company compliance.Experience managing board governance activities, including preparing board materials, drafting resolutions, and maintaining governance documentation.Proficiency with corporate governance platforms, specifically Workiva, and the SEC's EDGAR filing system, ComputerShare, and Diligent.Ability to handle confidential and sensitive information with discretion.Ability to work independently and meet deadlines.Excellent attention to detail and ability to manage multiple priorities in a fast-paced environment.Excellent written and verbal communication skills.What We Offer
