Contracts Counsel - Boston, MA

We are currently seeking candidates for a Contracts Counsel opportunity with a highly successful and collaborative organization located in Boston, MA. The Contracts Counsel will draft, review, revise, and negotiate general and complex corporate agreements for the organization. This role will focus on drafting, reviewing, revising, and negotiating a wide range of commercial and corporate agreements. The Contracts Counsel will handle various contract types, including but not limited to NDAs, SaaS agreements, subscription and engagement letters, consulting and insurance agreements, and data protection contracts. The ideal candidate will have 5-8+ years of related post JD experience.

This is a 3+ month contract-to-hire position, paying between $100-$120 / hour (depending on experience). The position requires onsite presence 2 days / week in Boston.

Responsibilities :

  • Draft, review, and negotiate agreements such as vendor contracts, NDAs, SaaS agreements, subscriptions, engagement letters, consulting and insurance agreements, and data protection agreements.
  • Collaborate with internal teams (Procurement, IT, HR, Claims, Underwriting, Compliance) to ensure contracts align with business priorities and manage legal risk.
  • Translate legal concepts into clear, business-friendly advice and help teams understand contract obligations.
  • Address key legal issues like indemnification, liability limitations, termination rights, and data security.
  • Maintain understanding of risk tolerance across functions.
  • Refine contract templates, negotiation playbooks, and review workflows for efficiency and consistency.
  • Stay updated on legal and regulatory changes and incorporate them into contracts and practices.
  • Support improvements in contract processes and cross-functional collaboration.

Qualifications :

  • J.D. from an accredited law school and active Massachusetts Bar admission.
  • 5–8+ years of post-J.D. legal experience focused on commercial contracts.
  • Proficiency in drafting and negotiating a variety of contracts, including vendor, data privacy, service, software licenses, NDAs, and consulting agreements.
  • Strong communication skills for explaining legal concepts to non-legal stakeholders.
  • Experience working with cross-functional teams.
  • Excellent drafting and negotiation skills with attention to detail.
  • Ability to manage multiple priorities independently in a fast-paced environment.
