This is a 100% in-office role and can be based out of our NYC, LA, or San Francisco office.
What You Will Do
- Serve as a lead attorney on Compass's mergers, acquisitions, joint ventures, debt financing, and other strategic corporate and commercial transactions.
- Advise internal business clients and serve as their legal subject matter expert.
- Supervise outside counsel on transactional matters, liaising with legal and non-legal internal stakeholders at Compass.
- Draft and negotiate term sheets, definitive agreements, credit agreements, commercial agreements, and other ancillary documentation.
- Work collaboratively with cross-functional teams on post-transaction and integration matters.
- Support day-to-day legal issues related to marquee agent offerings, including Compass Concierge.
- Develop policies, training, and workflows to enable business teams to move quickly while addressing key legal risks.
- Identify and develop improvements to standard form agreements, transaction playbooks, and other legal and non-legal processes at Compass.
- Contribute to legal department initiatives, including cross-functional projects and training.
What We Look For
Strong academic credentials including a JD and membership in good standing in at least one state bar (NY or CA bar a plus).5+ years of experience, either at a top law firm or a large in-house legal department (or combination thereof).Background in M&A, leveraged finance, or other complex transactional practice.Ability to work in a fast-paced environment and manage several projects with shifting priorities under deadlines.Team player with low ego who can effectively collaborate with other attorneys and professionals.Strong organizational skills and attention to detail.Exceptional written and verbal communication skills with the ability to explain complex ideas clearly and simply.Compensation
The base pay range for this position is $159,700-$190,000 annually; however, base pay offered may vary based on job-related knowledge, skills, and experience. Bonuses and restricted stock units may be provided as part of the compensation package, in addition to a full range of benefits. Base pay is based on market location. Minimum wage for the position will always be met.
