This senior legal leader will drive strategy across executive and director compensation, support the Compensation Committee of the Board, and oversee subsidiary governance. The role offers high-impact visibility and collaboration with senior leadership and cross-functional teams, including Legal and Total Rewards.

Responsibilities

  • Shape legal strategy for executive / director compensation, equity programs, and disclosures (proxy / CD&A, 8-Ks, Section 16)
  • Advise on insider trading policies, shareholder proposals, and ERISA-related issues
  • Prepare board materials and serve as Assistant Secretary to the Compensation Committee
  • Lead subsidiary governance and contribute to broader corporate governance initiatives
  • Mentor and manage legal team members

Qualifications

  • JD required with 10+ years of legal experience (law firm + in-house preferred)
  • Proven expertise in securities law, executive compensation, and governance
  • Exceptional leadership, communication, and cross-functional collaboration skills
