LHH Recruitment Solutions is seeking a Corporate Paralegal in Roseland, NJ. The Corporate Paralegal will play a pivotal role in facilitating seamless operations across various responsibilities, from transactional closings to entity formations and case management.
This opportunity is direct hire and fully on-site.
Responsibilities :
- Assist in the preparation and filing of corporate documents, including UCC Financing Statements, Articles of Incorporation / Organization, and annual reports
- Support corporate attorneys in handling mergers and acquisitions, entity formations, and dissolutions
- Conduct due diligence and gather relevant information for corporate transactions
- Coordinate with clients and attorneys to ensure timely processing of legal documents
- Maintain and organize corporate minute books, stock certificates, and other corporate records; maintain filing systems
- Prepare and review contracts, corporate resolutions, and other legal documents
- Conduct legal research and compile information from internal and external databases
- Manage data rooms and track case progress for corporate transactions
- Assist in client correspondence, notarization, and document signing
- Utilize MS Office Suite and other tools for document preparation and presentations
Qualifications :
- Bachelor’s degree or Paralegal certificate from an accredited program
- Minimum of 5 years' experience as a Corporate Paralegal with a focus on M&A, including contracts, corporate entities, and document management
- Proficiency in Word, Excel, and Kofax
- Ability to prioritize tasks and work effectively under pressure to meet deadlines
Salary range : $80,000-$90,000
