Position Overview
CRH Americas, Inc. is seeking a Corporate Paralegal to join its collaborative legal department. In this hands-on role, you will report to an Assistant General Counsel of CRH Americas, Inc.
and work closely with the Transactions Team to assist the operating companies with a wide variety of corporate matters. This position will work closely with internal and external attorneys on a variety of legal matters affecting the Company, including acquisitions and divestitures of businesses and real estate.
Job Responsibilities
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily.
- Work with the operating companies and other legal professionals on a variety of corporate transactions, including business acquisitions, divestitures, and real estate transactions.
- Draft documents related to a variety of corporate transactions, including stock and asset acquisitions.
- Collaborate with a broad range of parties to resolve issues that may negatively impact the timing of closings.
- Coordinate the execution and delivery of a broad range of transactional documents, including leases.
- Prepare, review, and manage due diligence materials, disclosure schedules, and transaction checklists.
- Quickly and effectively address issues related to corporate transactions, such as real estate closings.
- Draft contract forms, correspondence, and a variety of corporate documents for attorney review.
- Calendar, manage, and execute post-closing action items, including the transfer of licenses and permits.
- Manage all aspects of internal restructuring or reorganization activities, including officer appointments.
- Perform, review, and summarize lien, litigation, and bankruptcy search results.
- Obtain tax identification numbers and prepare other regulatory filings related to corporate transactions.
- Research state qualification requirements and prepare filings for any necessary qualifications.
- Maintain and improve the Company’s transaction database, including the preparation of closing binders.
- Perform legal research and prepare legal memoranda for attorney review.
- Retrieve information from judicial, legislative, and industry databases.
- Assist with the preparation of expense reports and budgets.
- Develop strong working relationships with the operating companies.
- Assist attorneys, paralegals, and legal assistants on a variety of legal matters as part of a team.
- Coordinate with internal and external attorneys on the management of legal matters.
- Prepare board resolutions, annual filings, and other corporate governance filings.
- Assist in the management of the Company’s corporate entity database (Corporation Service Company).
- Maintain professional demeanor at all times while representing the Company.
- Regular and predictable attendance at assigned times is required.
- Perform other duties as assigned.
Job Requirements
- Bachelor’s degree or Associate’s degree from an accredited college / university or equivalent work experience.
- Paralegal Certificate preferred but not mandatory. Will consider equivalent work experience.
- At least four years of experience as a paralegal in an in-house or law firm environment.
- Proficiency in Microsoft Office Suite, including Excel and PowerPoint for data analytics.
- Proficiency using a virtual data room to upload and organize documents.
- Excellent written and verbal communication skills.
- Superb attention to detail and follow-up skills.
- Excellent organizational and multi-tasking skills.
- Must be able to maintain a high degree of confidentiality and work with minimal supervision.
- Ability to cooperatively interact with all levels of personnel.
- Sets high standards and continually seeks a better way to do things.
Work Requirements
- Must be 18 years in age or older.
- Must pass pre-employment drug screen and criminal background check.
- Strict adherence to the safety requirements and procedures outlined in the Employee Handbook.
- Willingness to work independently within in a team environment and assist the team with other duties.
- Must be willing to travel and work away from home when required.
