Our AmLaw clients are looking for Corporate M&A Associate Attorneys to join their team. This position is an opportunity to be involved in high-profile mergers and acquisitions, advising public companies on transformative transactions that shape industries.
Here’s what you need to know :
Key Responsibilities :
- Advise clients on public M&A transactions, including tender offers, mergers, and acquisitions.
- Draft, review, and negotiate key transaction documents and disclosure statements.
- Provide guidance on securities regulations, corporate governance, and fiduciary duties related to public company M&A.
- Work closely with internal teams and clients to structure deals that meet strategic goals while ensuring regulatory compliance.
- Support clients with proxy contests, takeover defenses, and other shareholder engagement matters.
Qualifications :
- JD degree and active bar membership in good standing.
- 4-8 years of experience specializing in public M&A and securities law.
- AmLaw experience preferred.
- Proven track record in managing complex, high-value transactions.
- Strong skills in drafting, negotiation, and client management.
- Ability to collaborate effectively with a diverse team and meet deadlines in a fast-paced environment.
- Excellent analytical and strategic thinking skills.
