Amazon’s Legal Department is looking for a Corporate Counsel to support our infrastructure technology development, procurement and manufacturing teams.
This role will support AWS’s Hardware Engineering and Services organization (HWEngS), who is chartered with designing, testing, operating and maintaining the servers, storage devices and other hardware and software technologies that run the AWS cloud.
This role will also support Infrastructure Supply Chain (AIS-SC), who is responsible for procuring, manufacturing and deploying these cloud infrastructure technologies globally.
This role provides a blend of counseling and transactional support. The transactions include a wide variety of deal types, such as hardware and software development;
technology licensing; supply, procurement, manufacturing agreements; SaaS and hosted services agreements; and professional, operations and support services.
You will work directly with a wide array of teams across AWS, such as finance, global expansion, sales and marketing, product and trade compliance, privacy, safety, security, logistics and transportation, labor and employment and other legal counterparts, to help develop and launch products and to manage the supply chain for these technologies deployed around the globe.
You will also help identify, counsel on and resolve a wide array of commercial, operational, legal and other issues, but particularly on intellectual property (IP) contamination, IP protection and licensing and vendor engagement and negotiation strategies.
This Corporate Counsel will also develop, review and advise on standard operating procedures, forms and internal policies and will develop and deliver trainings and business facing resources to enable these teams to seamlessly develop, manufacture and deliver products to our customers.
We expect this role to own and deliver on diverse and complex transactions and projects simultaneously. Successful candidates will demonstrate strong organizational and collaboration skills across multiple internal teams and with external customers and counter-parties.
A clear and concise communication style that is effective across internal and external teams, including technical and non-technical executives, is required.
This position can be based in either Seattle or Santa Monica.
Key job responsibilities
- Providing business-line counseling to the HWEngS and AIS-SC teams team to enable the development, manufacture, deployment and maintenance of AWS cloud infrastructure technology globally for our customers.
- Structuring, drafting and negotiating complex commercial and technology-related agreements, including development, supply, manufacturing services, software licensing, services, and other bespoke agreements.
- Supporting and directly advising business partners on legal, commercial, operational and other risks.
- Developing, advising on and implementing with the business vendor engagement, contract and negotiation strategies.
- Collaborating cross-functionally to identify and resolve commercial, operational, compliance, regulatory, security, safety, legal and customer / vendor issues.

BASIC QUALIFICATIONS
- Juris Doctor and membership in one state bar or equivalent
- 5+ years of legal experience (with several years at a leading law firm or in-house experience).
- Strong transactional, drafting and negotiations experience of complex commercial or technology agreements.
PREFERRED QUALIFICATIONS
- 8+ years of legal experience (with several years at a leading law firm or in-house experience).
- Experience supporting technology development, procurement, manufacturing; technology licensing; and hardware development.
- In-house experience at a technology company.
- Proven track record of strong judgment in the absence of precedence, issue spotting and problem-solving skills.
- Experience providing prompt practical, crisp and actionable legal advice.
- Ability to lead and influence cross-functionally to root cause and promptly resolve and deliver results on complicated problems.
- Curiosity and a willingness to learn and build relationships in a team environment.
