Provide legal support on a wide range of corporate matters, reporting to the Company’s General Counsel. Responsibilities include supporting the company’s corporate governance function and public company securities law requirements, preparing, reviewing and negotiating various contracts, and providing legal, policy, and strategic guidance to the business.
This role requires strong business acumen and the ability to work as a collaborative business partner across functions.
Essential duties and responsibilities
- Primarily responsible for the preparation and review of commercial contracts
- Assist with corporate governance and the corporate secretary function
- Prepare board and committee materials
- Prepare resolutions, consents, governing documents, certificates, and minutes
- Prepare SEC filings, including registration statements, proxy statements and ’34 Act filings
- Prepare and maintain governance-related policies and procedures
- Provide legal counsel and guidance to managers, and business leaders relating to the Company’s business activities
- Appropriately identify and analyze legal issues with an understanding of how to appropriately balance risk and the Company’s ability to pursue its business interests
- Respond promptly to the business while delivering efficient and high-quality legal service
- Manage and prioritize multiple projects, analyze business and legal risks presented by these projects, coordinate with appropriate stakeholders, and bring these projects to a successful conclusion without significant supervision
Minimum requirements
- Juris Doctorate (JD) from ABA accredited university, membership in good standing of State Bar
- 5 years legal experience including contract negotiation and corporate law
- 3 years legal experience with a premier law firm
- Combination of law firm and in-house experience preferred
- Experience in cryptocurrency and energy a significant plus

- Ability to work effectively in a remote team environment.

- Candidate must be able to interact effectively and collaboratively with the Company’s executives, professionals, staff and other employees, as well as with outside counsel
