JOB DESCRIPTION With minimal oversight, the Real Estate Sr. Counsel will provide legal services in support of real estate, construction and lease administration projects, including those relating to development of new locations, sale-leasebacks, international support centers, mergers and acquisitions and divestitures of existing locations across a portfolio of brands.

RESPONSIBILITIES

  • Prepare and negotiate new leases, lease amendments and related documentation, without much supervision.
  • Prepare and negotiate real estate purchase & sale agreements and consummation of the transactions contemplated therein.
  • Oversee preparation of estoppel certificates, SNDA’s, easement agreements and other documents needed in the ordinary course of lease administration.
  • Provide advice and counsel to support enterprise-wide lease administration, real estate development, and construction efforts.
  • Ensure that standard forms of real estate legal documents are updated as necessary / desirable to reflect current best practices.
  • Provide legal support with general corporate / miscellaneous matters as needed (e.g., review of vendor contracts, non-disclosure agreements, etc.).
  • Review title commitments and surveys and resolve title problems.

EDUCATION AND EXPERIENCE QUALIFICATIONS

  • Juris Doctor degree from an accredited U.S. law school.
  • Licensed (in good standing) to practice law in the United States, preferably in the State of Georgia.
  • Six (6) or more years of practice in a law firm or corporation representing public and / or private companies with respect to complex commercial real estate transactions.

Restaurant and / or retail experience preferred. Law firm experience required.

REQUIRED KNOWLEDGE, SKILLS OR ABILITIES

  • Detailed knowledge of, and competence in advising clients with respect to, commercial real estate transactions, with emphasis on retail leasing especially ground leases and hot pads transactions).
  • Extensive experience in drafting and negotiating definitive agreements and related documents customary in real estate acquisitions and divestitures, including asset purchase, sale, and sale-leaseback transactions.
  • Experience running a real estate deal from start to finish without much supervision.
  • Experience analyzing, interpreting, and clearly communicating legal strategies and requirements to / for non-lawyer colleagues.
  • Experience working effectively within a team of legal and non-legal professionals.
  • Experience representing quick-service or casual dining restaurant or sports bar franchisors or franchisees preferred.
  • Restaurant or hospitality industry experience preferred.
  • Commercial leasing experience with regard to retail tenants, particularly restaurants preferred.
