K&S LLP has represented more than 20 sellers as well as buyers in negotiating and documenting asset purchase agreements and stock purchase agreements, as well as all other ancillary documents in connection with M&A transactions.
K&S LLP also represents both start-up companies as well as investors in connection with financing transactions (primarily SAFEs, convertible notes, seed financing, Series A financing, and Series B financing).
Finally, K&S LLP serves as outside general counsel to a growing list of clients across multiple industry sectors.
Role Description
This is a full-time Corporate Paralegal role located in San Diego, CA, with flexibility for some remote work. The Corporate Paralegal will support attorneys in the delivery of legal services to clients in corporate matters.
Under the supervision of firm attorneys, the Corporate Paralegal will also draft legal documents, perform legal research, and coordinate corporate transactions and other legal matters.
- Mergers and Acquisitions (M&A) Support : Assisting attorneys with due diligence reviews, preparing and organizing Disclosure Schedules, creating and managing Task and Responsibility (T&R) checklists, and coordinating document production and management.
- Financing Transactions Assistance : Managing federal and state blue-sky filings, assisting with the preparation and filing of regulatory documents, and ensuring compliance with federal and state securities laws and regulations.
- General Corporate Matters : Managing virtual data rooms, organizing and maintaining corporate minute books, including resolutions, board consents, minutes, stock ledgers, and capitalization tables.
Assisting with entity formation, corporate governance matters, and compliance-related tasks.
Document Management : Drafting and reviewing template legal documents for review by attorneys, contracts, agreements, and correspondence.
Ensuring accuracy, completeness, and compliance with relevant legal requirements.
- Client Interaction : Providing support in client communications, including coordinating meetings, preparing agendas, and assisting with client inquiries and requests.
- Collaboration and Teamwork : Working closely with attorneys and other team members to facilitate efficient workflow and deliver high-quality legal services to our clients.
- Research and Analysis (occasional) : Conducting legal research, analyzing statutes, regulations, and case law to support attorneys in providing comprehensive legal advice and solutions to clients.
- Administrative Support : Performing various administrative tasks, including time entry, billing support, file management, and other duties as assigned.
Qualifications :
- Bachelor's degree or equivalent from an accredited institution.
- 1-3 years of experience as a corporate paralegal, preferably in a law firm environment.
- Strong understanding of corporate law principles and procedures, particularly in Mergers and Acquisitions, Financing transactions, and general corporate matters.
- Proficiency in managing Disclosure Schedules and Task and Responsibility (T&R) checklists for M&A transactions.
- Experience with federal and state blue-sky filings for Financing transactions.
- Familiarity with virtual data room platforms and document management systems.
- Excellent organizational and time management skills, with the ability to prioritize tasks and meet deadlines in a fast-paced environment.
- Strong attention to detail and accuracy in document preparation and review.
- Excellent written and verbal communication skills, with the ability to interact professionally with clients and team members.
- Proficiency in Microsoft Office suite and Lexis.
Preferred Qualifications :
- Paralegal certificate from an accredited program.
- Experience with managing corporate minute books, including resolutions, board consents, and stock ledgers.
- Familiarity with capitalization tables and corporate governance best practices.
- Knowledge of relevant software and tools, such as Blue Sky Interactive, CapMx, and Diligent Entities.
- Ability to work independently with minimal supervision and demonstrate initiative in problem-solving.
- Commitment to maintaining confidentiality and upholding ethical standards in all aspects of work.
