General description

Join the Texas Treasury Safekeeping Trust Company as an Assistant General Counsel! Work involves performing highly advanced (senior-level) legal analysis work.

  • Working within the TTSTC Legal Department, the Assistant General Counsel manages legal and investment work which involves assisting with directing and planning the agency’s legal activities;
  • interpreting laws, regulations, and rules; preparing legal documents; rendering legal advice and counsel; consulting with attorneys;

coordinating the drafting and negotiation of contracts; and drafting bills for legislative consideration. May plan, assign, and / or supervise the work of others.

Works under minimal supervision, with extensive latitude for the use of initiative and independent judgment.

Minimum Qualifications

  • Graduation from an accredited law school with a LL.B. or J.D. degree.
  • Seven to ten years of legal experience in corporate, investment or securities law is required.

Preferred Qualifications

  • Experience with strong organizational skills and attention to detail.
  • Familiarity with investment-management concepts.
  • Experience reviewing and negotiating limited partnership agreements, investment management agreements, subscription documents, ISDAs and MCAs, MRAs, and MSFTAs.

Licenses / Certifications :

  • Active license in good standing to practice law in the State of Texas or able to immediately activate license through Texas State Bar upon request.
  • A valid Texas (or state of residency) driver’s license and a satisfactory driving record are a condition of employment.
  • Applicants offered an interview must present the following documents at or before the interview : A state issued driving record for the last 36 months;

valid Texas driver’s license (or state of residency driver’s license); and current proof of automobile insurance.

Qualifications

In this role you will have :

Investment Responsibilities

  • Provides legal advice and counsel on any matters related to TTSTC’s operations.
  • Reviews, drafts, and negotiates contracts, subscription agreements and redemptions, limited partnership agreements and amendments, side letters, most favored nation elections, reporting and tax forms, and confidentiality agreements related to fund investments.

Reviews, drafts and revises investment policies, resolutions, and other documents related to investments.

  • Drafts, reviews and negotiates contracts related to trust services, including funds management, investment services, and escrow agreements.
  • Negotiating, drafting, and reviewing ISDAs and MCAs, MRAs, and MSFTAs.
  • Negotiates and drafts nondisclosure agreements.
  • Reviewing additional subscription and redemption requests.
  • Works with outside counsel as necessary.

Other Responsibilities

  • Drafts, reviews and tracks contracts and requests for proposals relating to TTSTC administration and coordinates with Comptroller’s office.
  • Drafts, reviews and revises internal policies, rules, and other TTSTC operational documents.
  • Drafts, reviews and tracks contracts and requests for proposals relating to TTSTC operations.
  • Conducts research and reviews, tracks and drafts legislation, submits reports and coordinates with legislative affairs staff.
  • Assists in responding to audit requests and comments. Assists in responding to open records requests.
  • Performs other related work as assigned.

Knowledge of :

  • Legal principles, practices, and proceedings across various subject matter areas including securities, contract, corporate, partnership, finance, and administrative / government law.
  • Federal and state laws, regulation and rules impacting TTSTC investment and contracting activities, including ethics and fiduciary responsibilities.
  • Best practices in private and alternative investments, including Institutional Limited Partners Association (ILPA) principles.
  • Laws, regulations, and rules impacting TTSTC and Comptroller.
  • Legal research methods and techniques.

Skill in :

  • Responsibilities include providing legal advice to the TTSTC pertaining to thefollowing :
  • Reviewing, negotiating, and drafting legal documentation for investments in private equity funds, hedge funds, real estate funds, and others, including offering memoranda, limited partnership agreements, investment management agreements, side letters, subscription documents, non-disclosure agreements, stock purchase agreements, investors’ rights agreements, and related documents;
  • Preparing and reviewing requests for proposal orqualifications;
  • Drafting and negotiating contracts with vendors, investment consultants, external investment managers, outside legal counsel, andbroker-dealers;
  • Reviewing and drafting documentation relating investment operations, including non-disclosure agreements, investment policies, and other duties asassigned;
  • Reviewing, negotiating, and drafting derivative transaction agreements, including International Swaps and Derivatives Association (ISDA) agreements;
  • Repurchase agreements, including Master Securities Forward Transaction Agreements(MSFTA);
  • Reviewing and providing counsel regarding regulatory matters, including Dodd-Frank regulatory compliance,andotherfederalandstatelaws,regulationsandrulesimpactingTTSTCinvestment activities, including the Securities Act of 1933, Securities Exchange Act of 1934, the Investment Company Act of 1940, and other matters pertaining to ethics and fiduciaryresponsibilities.
  • Conducts research and providessupport :
  • Reviews and monitors proposed state or federal legislation andregulations;
  • Provides advice and assistance regarding all applicable existing or proposed federal, state, and agency laws, rules, andpolicies;
  • Conducts legal research and analysis, describing application of findings to TTSTC business and investmentactivities;
  • Coordinates and reviews related work of paralegals, specialists, and support staff with regard to specific areas of responsibility.
  • Effectively conveying information and encouraging an exchange of ideas.
  • Identifying, defining, and solving problems.

Ability to :

  • Prepare, prioritize and complete legal investment transaction documents for multiple fund closings, additional subscriptions, and redemptions prior to deadlines;
  • Prepare, review, edit, summarize, and submit legal documents;
  • Attend meetings of the Comptroller’s Investment Advisory Board and other board meetings and investment committee meetings and preparing meeting materials.
  • Conduct research and summarize findings;
  • Interpret and apply laws, regulations, rules, and policies;
  • Demonstrate a high level of integrity, strong work ethic and commitment to meeting deadlines
  • Maintain confidentiality and protect the privacy of state employees, taxpayers, and other members of the public.
  • Follow all agency confidentiality, privacy, and information security policies and procedures.
  • Appropriately store, secure, and protect sensitive records and other confidential documents and data in accordance with the agency’s certified Records Retention Schedule.
  • Seek guidance and clarification from relevant agency specialists when potential confidential issues arise.
  • Use discretion and appropriate judgement in communicating confidential and sensitive information.
  • Work with others to achieve a common goal.
