Our client, a growing Austin area law firm, is seeking a Corporate Legal Assistant to perform all functions related to assisting attorneys by performing work of a substantive legal nature under general supervision and according to established policies and procedures.
Essential Duties and Responsibilities :
Include the following. Other duties may be assigned.
- Draft, review and analyze corporate / partnership / LLC records.
- Prepare and maintain entity books with organizational documents, minutes, and consents.
- Prepare ownership diagrams and transaction diagrams (Visio Software).
- Prepare and submit entity and regulatory filings.
- Maintain tickler system for corporate director and shareholder meetings and consents(Access Software); prepare and distribute monthly schedule of upcoming director and shareholder meetings;
prepare and transmit reminder letters to clients for annual meetings and form of unanimous consents in lieu of meetings.
- Interact with and exchange correspondence with attorneys and clients on various entity, transaction, and related matters.
- Maintain entity records on Document Share site.
- Prepare PDF-bookmarked electronic document binders; as requested by attorney.
- Interact with various government agencies to obtain information, documents and forms.
- Interact with Texas Comptroller’s Office regarding franchise tax reports, sales and use tax permits and reports, certificates of account status, and entity terminations.
- Review and analyze various legal matters and prepare reports for clients as requested.
- Travel to private and public buildings to assist attorney in attending to client legal matters.
- Interact with third-party registered agent and corporate / entity service providers.
- Maintain contacts with contact information for clients, third-party service providers (e.g., registered agent services), and governmental agencies.
- Obtain apostilles and legalization of documents as requested.
- Prepare and maintain annual securities schedule for Firm insurance reporting.
- Coordinate and prepare client audit letters and related matters.
- Maintain corporate, partnership and LLC forms and checklists.
- Prepare online background search report for new clients, as requested.
- Prepare and maintain transaction checklists; organize and assist with closings.
- Prepare schedules and exhibits to legal documents.
- Prepare closing documents.
- Track and record time spent performing all client services and all Firm-related tasks.
- Establish weekly project status meetings with attorneys and legal secretaries to facilitate communications and work flow.
Requirements :
- 5 or more years of experience working in a law firm setting, supporting attorneys in a corporate / transactional practice.
- Degree or Paralegal Certificate preferred.
