POSITION OVERVIEW
Under the direction of the General Counsel, provide sound business-minded legal advice to management and other internal personnel on corporate matters affecting the Company’s various business functions, including finance, credit, human resources, and corporate development.
GENERAL RESPONSIBILITIES
- Oversee and manage strategic and other business transactions from negotiation to closing.
- Provide counsel regarding and execute on company equity and debt capital markets strategy.
- Assist in establishing and maintaining internal governance and other policies, procedures and processes.
- Assist in negotiating and drafting various commercial and other contracts related to company business, including without limitation, software agreements, master services agreements, contractor agreements, commercial leases and license agreements.
- Assist in providing regulatory counsel relating to commercial and consumer lending.
- Develop and provide training to company employees on substantive legal matters.
- Oversee and manage junior legal department team members.
- Interface with and manage outside counsel, as directed by the General Counsel.

EDUCATION AND EXPERIENCE
- J.D. from ADA accredited law school.
- 5-7 years of experience practicing law, with at least 3 years practicing in a sophisticated corporate law firm and at least 2 years practicing in-house, preferably within the financial services industry.
- Active member of California State Bar in good standing.
- Significant corporate transactional experience.
- Background in corporate finance or accounting, preferred.
SALARY
$165,000 - $209,000 / annually, depending on experience and location
