Job Overview :
We are seeking a skilled and detail-oriented Corporate Paralegal to join an AMLaw 200 firm in their Los Angeles, Orange County, or San Diego office.
The ideal candidate will have experience supporting attorneys in corporate transactions, particularly mergers, acquisitions, and other business reorganizations.
This position offers an exciting opportunity to work closely with our attorneys on high-profile deals and to assist with the preparation and management of transactional documents.
Key Responsibilities :
- Assist attorneys in preparing and reviewing legal documents related to mergers, acquisitions, and corporate governance, including due diligence materials, closing binders, and resolutions.
- Conduct in-depth research on corporate law and M&A regulations to ensure compliance and advise on potential risks.
- Coordinate and manage due diligence processes, including organizing and reviewing data rooms, compiling due diligence reports, and tracking document production.
- Prepare and file corporate formation, amendments, and other business entity filings with state and federal agencies.
- Support the drafting and finalization of purchase agreements, shareholder agreements, disclosure schedules, and other transaction documents.
- Facilitate communication between clients, attorneys, and third parties involved in transactions.
- Assist in managing closing logistics, including drafting closing checklists, coordinating signatures, and preparing closing documentation.
- Maintain corporate records and handle post-closing matters, such as filings and compliance monitoring.
- Work with other paralegals and support staff to ensure that all documents are properly executed and filed according to timelines.
- Provide general paralegal support for corporate matters such as SEC filings, corporate governance, and compliance as needed.
Qualifications :
- Education : Paralegal certificate from an ABA-approved program or equivalent experience.
- Experience : Minimum of 5 years of paralegal experience in corporate law, preferably with a focus on M&A transactions.
- Strong knowledge of corporate law, M&A processes, and transactional procedures.
- Excellent organizational skills with the ability to manage multiple priorities under tight deadlines.
- Proficiency in document management systems and Microsoft Office Suite.
- Ability to work independently and as part of a collaborative legal team.
- Strong attention to detail and excellent communication skills.
