POSITION SUMMARY :
The Corporate Counsel, Healthcare Transactions is an individual contributor lawyer who performs general legal review, analysis, and advice on a variety of matters in a busy, high-performing legal department supporting a cutting-edge molecular diagnostics company, with a focus on supporting the Company’s research activities.
Experience in drafting commercial research agreements is a must. This is a mid-level transactional attorney position, although Company encourages employees to take on additional assignments and projects that interest them and they are capable of, this is a job with growth potential for the right lawyer.
Requires a nimble lawyer who can focus on key risks and provide clear, focused, actionable advice.
PRIMARY RESPONSIBILITIES :
- Independently draft, review, and negotiate a wide range of contracts needed for the effective functioning of the Company, focusing mainly on clinical study agreements, research collaboration agreement, investigator initiated trials, material transfer agreements and data use agreements.
- Perform legal review and approval of other company documents, such as clinical study consent forms and study protocols.
- Support senior level attorneys in providing general legal advice and strategy to internal clients on legal and compliance matters related to Company’s business, particularly, its research activities.
- Appropriately manage a heavy workflow, setting priorities with internal clients and meeting deliverable timelines.
- Provide ongoing assistance with training, monitoring and improving compliance with the Legal Department’s policies and procedures.
- Liaise with internal clients and respond to inquiries regarding contracts and other matters, as assigned.
- Learn and contribute and help the ongoing development of the Legal Department playbook for contract negotiations.
- Experience in data privacy regulations including HIPAA, GDPR and their intersections with regulatory requirements in the pharmaceutical and biotechnology industries.
- Employee must complete training relating to HIPAA / PHI privacy, General Policies and Procedure Compliance training and security training as soon as possible but not later than the first 30 days of hire.
- Must maintain a current status on Natera training requirements.
QUALIFICATIONS :
- JD degree is required.
- 5+ years of experience as an attorney in commercial research contracts and general corporate practice, including 3+ years of experience in a major law firm, in-house experience a big plus.
- Experience in advising clients in biotech, life science and / or health care industries.
- Member of California Bar or eligible to register as Registered In-House Counsel.
- Experience in reviewing, drafting, negotiating and finalizing commercial contracts, including complex arrangements independently with little or no supervision

The pay range is listed and actual compensation packages are based on a wide array of factors unique to each candidate, including but not limited to skill set, years & depth of experience, certifications and specific office location.
