Corporate Lawyer

Our client is a leading liquidity and technology provider of solutions for the crypto and foreign exchange (FX) industry.

Specializing in B2B services and products, the company caters to a diverse clientele, including large licensed brokers, crypto exchanges, crypto brokers, forex brokers, hedge and crypto funds, and professional managers.

B2Broker’s advanced suite of ready-to-use technical solutions helps brokers save time and money on infrastructure projects, allowing them to focus on expanding their client base and increasing revenues.

We are seeking a highly skilled and versatile Lawyer specializing in corporate law to join our team. This role requires managing a broad spectrum of legal matters that impact the company’s operations, including corporate, commercial, employment, and tax issues.

The successful candidate will handle internal legal matters, ensuring compliance and providing strategic legal advice to support our business objectives.

Proficiency in English communication skills is essential.

Qualifications and Skills :

• Juris Doctor (JD) degree from an accredited law school.
• Minimum of 3+ years' experience providing legal advice as an in-house lawyer. Experience in a Big 4 or a law firm would be preferable.
• Familiar with the fintech industry.
• In-depth understanding of corporate, commercial, employment, tax and compliance requirements;
• Excellent written and oral communication skills in English ;
• Strong analytical and problem-solving skills;
• Attention to detail and ability to multitask;
• Proactive mindset with a focus on finding practical legal solutions;

Key Responsibilities :

Corporate Legal Management

• Draft, review, and negotiate contracts and agreements for the company and its subsidiaries.
• Provide legal support for corporate governance matters, including board meetings, resolutions, and shareholder communications.
• Advise on legal risks, regulatory compliance, and contractual obligations.
• Manage legal aspects of corporate restructurings.
• Liaise with external legal counsel on complex legal matters and litigation.
• Develop and implement legal policies and procedures to mitigate risks.

Legal Advisory and Strategy :

• Provide legal advice and strategic guidance to senior management on a wide range of corporate, financial, and regulatory issues.
• Stay informed of legal developments and trends that may impact the company’s operations and proactively advise on necessary adjustments to policies and practices.

Contract and Document Management :

• Ensure all legal documents and contracts meet regulatory standards and protect the company’s interests.
• Draft, review, and maintain comprehensive internal documentation related to banking relationships, transactions, compliance activities, and other corporate matters.

NICE TO HAVE experience in KYC and Compliance :

• Oversee the Know Your Customer (KYC) process for new and existing clients.
• Conduct ongoing checks and Know Your Transaction (KYT) monitoring to prevent money laundering and fraud.
