General Counsel Trustee

Overview Join to apply for the General Counsel Trustee role at Colorado Youth Bands. Colorado Youth Bands (formerly named Colorado Honor Band Association) is a 501(c)(3) nonprofit children's music education charity in the Denver area. Since 1953, it has provided band opportunities to students aged 9-18, spanning a wide range of educational opportunities, locations, and socio-economic levels. Purpose : The General Counsel (the “GC”) of the Colorado Youth Bands (the “Organization”) Board of Directors (the “Board”) shall oversee the Organization's legal position and risk profile, ensure legal compliance, review organizational contracts, and assist with external legal issues as they arise. The GC should be a practicing attorney to ensure compliance. Responsibilities Monitor the legal status of the organization Analyze risks to the organization and provide recommendations Review organization-level contracts, including employment agreements Assist with maintaining proper insurance policies Coordinate with pro bono law firms Serve as a point of contact for legal correspondence / inquiries Ensure compliance with charitable solicitation laws Attend Board meetings to provide legal guidance Must be a practicing attorney Reports To Board of Directors Works Closely With Other board Trustees, the Organization's Program Director, and financial support staff. Time Commitment About 5 hours per month and as needed. All members of the Board of Directors, including the GC, are volunteers and do not receive a salary. Board Overview Colorado Youth Bands is governed by a Board of Directors that relies on fundraising, guidance, and volunteer support. Trustees are elected for 2-year terms with no term limit and serve as volunteers. Board Member Commitments & Expectations Time Commitment and Attendance : prepare for and attend meetings; about 5 hours / month on board meetings, committee meetings, and events. Officers may spend an additional 5-10 hours / month. Advocacy : act as advocates in communicating the mission, goals, and programs. Committee Assignments : actively participate in one or more committees. Support of Staff : support staff while respecting governance vs. management roles. Participation in Giving / Campaigns : donate and participate in fundraising and development efforts. Special Events : attend Colorado Youth Bands-related activities as ambassadors.
