Corporate Counsel

About the role

The Corporate Counsel will report to the company’s General Counsel and assist with mitigating business risks. This position will focus on contract management, training, and policy advice.

What you'll be doing

  • Partners with business leaders to deliver services that support company objectives and that are consistent with Winning Together values.
  • Contract Management :
  • Review and negotiate all third-party contracts.
  • Oversee review of contracts including confidentiality agreements, assignments, amendments, and letters of delivery.
  • Draft, negotiate, and review all third-party contractual documents including but not limited to reseller agreements and equipment leases.
  • Assist departmental managers with the creation of one-off agreements such as channel partners, evaluation agreements, warehousing agreements.
  • Advise managers of legal risk and business risks related to contractual relationships.
  • Review Statements of Work and Service Orders as needed.
  • Ensure responsiveness in accordance with company service level commitments.
  • Develop and update contract templates.
  • Develop and recommend contract department's processes, working with Purchasing, IT, and Sales departments to implement controls.
  • Ensure company compliance with contract terms.
  • Guide sales proposals through process and identify and mitigate risk issues in achievement of strategic business goals.
  • Work with IT team on review and responding to data security agreements with customers.
  • Provide training on contract processes.
  • Litigation :
  • Assist Senior Counsel and General Counsel with lawsuits as needed.
  • Research and draft memoranda on a variety of legal issues.
  • Assist Senior Counsel and General Counsel with alternative dispute resolution mechanisms.
  • Employer Relations :
  • Provide support to the Human Resources Department as needed.
  • Educate HR Department on proper investigative procedures.
  • Educate and train managers on legal issues including harassment & discrimination prevention.
  • Review and revise policies for changes in laws as instructed.
  • Embrace and support Computacenter’s mission and core values.

What you have

  • Legally eligible to work in the United States.
  • JD required.
  • Current member in good standing of the state bar.
  • 1-4 years of contracts experience in the technology industry.
  • 1-5 years of experience as an attorney, including law firm experience.
  • Specific and technical knowledge of contract types, methods, and procedures and basic principles of contract law.
  • Ability to prioritize, multi-task, and work effectively both independently and as part of a team.
  • Excellent interpersonal and organizational skills.
  • Must be result-oriented with a high level of integrity and honesty.
  • Must be able to regularly exercise independent discretion and judgment within defined policies.
