Business Contribution : Provides advice and counsel, as well as general legal services to commercial leadership and broader organization in Americas.
Represents the Company as needed to customers, suppliers, competitors and government agencies. Provides resolution of business or technical issues by identifying legal solutions and recommending a course of action.
Maintains oversight and control of regional legal budget and spend.
Key Responsibilities :
q Ensure that contracts are in compliance with legal, regulatory and Company policies.
q Monitor the contract process to assure compliance with the Company’s contractual guidelines, customer specifications and Company policy.
q May advise the organization on issues concerning employment law as required by HR and management teams, including termination of contracts and restraint of trade enforcement.
q May advise the organization on issues concerning patent, copyright or trademark matters.
q Examine legal data to determine advisability and / or risk associated with defending or prosecuting a lawsuit.
q Monitor / horizon scan for legal developments across the Americas region and support General Counsel and the business on preparation for future legal developments.
q Appoint and liaise with outside legal counsel as needed.
q May provide legal advice to the organization on mergers and acquisitions.
q Support any regional-specific legal compliance activities.
q Coordinate and manage legal entity maintenance and corporate secretarial activity.
q Support HSEQ function as needed to promote and enforce safety awareness and improvement.
q Willing and able to travel internationally.
q Represent the Company in a professional manner at all times both internally and externally. Follow the published processes and comply with, as well as enforce, all company policies and procedures.
Be an ambassador for the businesses and, in particular, ensure that Health & Safety comes first at all times.
Required Qualifications :
q Fully licensed and qualified attorney
q 5 to years-experience as in-house legal counsel
q Significant experience across the Americas geographic region
q Manufacturing / Industrial experience (preferred)
q Public company experience (preferred)
