Job Summary
Tractor Supply Company is seeking a highly organized and detail-oriented Commercial Transactions Paralegal to join our team and provide essential support to our commercial transactions group.
The ideal candidate will have well-rounded experience in general contract review, including but not limited to, IT contracts, SaaS agreements, Telecom Agreements, Transportation and Carrier Agreements, Purchasing and Merchandising Agreements, as well as NDA's and other general contracts.
The candidate’s duties will also include creating templates and forms for streamlined contract review and helping to drive department efficiencies.
Furthermore, the ideal candidate will assist the supervising attorney to support the Business Strategy team and the Petsense business unit by assisting in M&A transactions and in the development and implementation of strategic initiatives.
Essential Duties and Responsibilities (Min 5%)
- Review and analyze, IT contracts, SaaS agreements, Telecom Agreements, Transportation and Carrier Agreements, Purchasing and Merchandising Agreements, as well as NDA's and other general contracts in conjunction with the supervising attorney.
- Process contracts within the company's contract management system.
- Assisting supervising attorney with drafting a variety of contracts and other agreements.
- Conduct legal research and analysis to support the commercial transactions group, Business Strategy team and Petsense business unit.
- Assist in due diligence efforts for M&A transactions, including reviewing contracts and identifying key provisions.
- Assist in privacy-related matters, including data protection compliance and regulatory issues and assisting the supervising attorney in the review of Data Subject Access Requests (DSAR) for Privacy compliance.
- Maintain organized and secure electronic and physical files.
- Assist with the review, tracking, and monitoring of legislation that impacts the company’s business and / or processes
- Assists in implementing changes to contracts to comply with legislation / regulations
- Partner with members of the legal team on special projects and initiatives as needed
Required Qualifications
Experience : 5 plus years’ experience
Education : Bachelor’s degree from an accredited college or university. A JD would be preferred but not required. Any suitable combination of education and experience will be considered.
Professional Certifications : Paralegal Certificate (from an ABA approval paralegal program preferred)
Preferred knowledge, skills or abilities
- Solid Microsoft Office skills; drafting skills; detail oriented
- Capable of creating templates and forms for documents and collecting metrics
- Excellent interpersonal skills including verbal and written communication, confidentiality, and collaboration
- Strong understanding of contract law and commercial transactions.
- Excellent organizational and time management skills.
- Ability to work independently and as part of a team.
