Canada Lewis & Associates, PLLC is looking for a talented driven attorney with significant experience in corporate transactions, to join our firm’s transactional / corporate practice.

If so, we’d love to connect. This is a fantastic opportunity to join a small, but highly recognized, growing, dynamic law firm doing interesting corporate transactional work in the State of Texas and across the United States.

We are seeking bright, creative, ambitious lawyers who will be able to provide leadership and far-reaching business counsel to franchise and corporate clients.

Strong academic credentials, outstanding communication and writing skills, combined with the ability to work well within our team are solid requirements.

Applicants will be expected to have frequent client contact and will need mature, confident client relation skills. Prior law firm or corporate experience, and admission to practice in Texas, are required.

The firm’s transactional practice consists of Corporate and Commercial Law, Construction Law, Employment Law, Franchise Law, Real Estate Law and Government Contracts.

Our Transactional Practice is supported by our Business Litigation and Arbitration practice.

Salary, a combination of base plus commissions plus annual bonus, will be based on a candidate’s background and experience.

We are located in the highly recognized Plano / Frisco area of North Dallas. This is an in-office position with a flexible schedule;

relocation is not offered.

The Role :

The right candidate is an attorney who can demonstrate exceptional writing and analytical skills, including researching and analyzing regulations and statutes;

identifying, summarizing, and tracking key facts and documents.

  • The Candidate will counsel and support corporate and franchise clients on complex transactions, including;
  • Advise clients towards best practices in corporate law, regulation and compliance by providing legal advice on corporate governance, policies, procedures, finances, intellectual property, employment, operations, and regulatory issues.
  • Support and document entity formation, mergers and acquisitions, divestitures, joint ventures and other corporate transactional matters
  • Draft, maintain, negotiate and monitor all commercial agreements, strategic relationships and employee related agreements;

advise on the litigation risks of possible business decisions.

Counsel domestic and international franchise clients; including reviewing and understanding intricate regulations and statutes, managing demanding complex multi-faceted transactions, and drafting various franchise-related agreements and regulatory filings (e.

g., franchise disclosure documents)

Provide third party document reviews including Franchise Disclosure Document (FDD) and real estate agreements; for which training is available.

Qualifications :

  • Strong written and verbal communications skills and public speaking experience is expected. It is expected that candidates will recognize and respect diversity and work effectively with people of other cultures and will have a desire to make a positive difference within the community.
  • Organized, energetic, talented, and self-directed with a professional appearance and manner; proactive and highly team-oriented approach to work.
  • Self-motivated, with outstanding interpersonal skills, and ability to communicate complex concepts and issues effectively with colleagues, and clients at all levels.
  • Minimum of 3 years’ experience as an attorney practicing in a corporate transactions practice.
  • Experience with entity formation, corporate governance matters, contract review and general corporate matters is required.
  • Experience with real estate transactions is favorably considered, but not required.
  • 2+ years of relevant experience in franchise law is preferred, but not required.
  • Excellent interpersonal, written, and verbal communications skills; ability to work independently or under limited supervision.
  • Ability to read, analyze and summarize large quantities of written information, utilize legal reference materials and manipulate basic computer processing applications.
  • There are no minimum billable hours, but dedication and willingness to work hard are required
  • The successful candidate must hold a Juris Doctorate from a reputable U.S. law school and be a member of the Texas state bar.
  • Portable business is not a condition for consideration. However, the willingness and ability to develop business is favorably considered.

Remuneration :

Initial salary to commensurate with qualifications and experience plus the opportunity to increase pay based on billable hours.
