Key Responsibilities :

  • Assist attorneys in managing complex corporate transactions, including mergers, acquisitions, joint ventures, and corporate restructuring.
  • Draft, review, and file corporate documents such as bylaws, articles of incorporation, shareholder agreements, and other essential corporate governance materials.
  • Manage closing checklists and due diligence efforts, ensuring all required documents are prepared, organized, and timely filed.
  • Coordinate with international offices to facilitate cross-border transactions and ensure compliance with applicable laws and regulations.
  • Conduct legal research on corporate law and other relevant legal matters as needed.
  • Maintain and update corporate minute books, stock records, and ensure compliance with annual filing requirements.
  • Liaise with clients, opposing counsel, and regulatory authorities to ensure seamless execution of corporate matters.

What We’re Looking For :

  • Minimum of 5 years of corporate paralegal experience in a law firm or in-house legal department.
  • Exceptional organizational skills, with a strong ability to manage multiple tasks and prioritize effectively.
  • Proficiency in corporate governance and transaction management, with keen attention to detail.
  • Strong communication skills and the ability to work both independently and as part of a dynamic team.
  • A proactive, solutions-oriented mindset and a passion for providing exceptional client service.
