The Detroit office of a BCG Attorney Search Top Ranked Law Firm seeks a corporate and / or real estate attorney with experience.
The candidate will perform the general duties of a corporate and / or real estate attorney including :
- Creating legal documents.
- Managing and advising clients on legal transactions in the corporate and / or real estate practice areas.
- Preparing regulatory filings and governance documents, such as bylaws and capitalization plans.
- Interpreting laws, rulings, and regulations for individuals and businesses.
Must have experience in :
- Drafting and negotiating business transaction agreements, including :
- Buy-sell agreements.
- Mergers and acquisition agreements.
- Operating agreements.
- Shareholder agreements.
- Non-compete and employment agreements.
- Mergers, acquisitions, and divestitures.
- Partnerships, LLCs, and joint ventures.
- Tax knowledge (a plus).
Should have experience in drafting and negotiating real estate transaction documents, including :
- Purchase agreements.
- Commercial lease agreements (office, retail, industrial).
- Conveyance documents.
Experience reviewing and resolving title and survey issues, handling all aspects of due diligence, and coordinating closings is needed.
Must be proficient in the use of on-line legal research services and other available legal resources. A portable book of business is preferred.
Must be admitted to a State Bar in the United States (preferably Michigan).
