Job Description :
Provide legal counsel and support to the corporate lending and international private banking divisions of the organization.
Requirements :
- Minimum 5 years of experience as a practicing U.S. attorney, with in-house experience at an international bank or financial services institution, or at a national / regional law firm.
- Active membership with the Florida Bar; U.S. J.D. required.
- Fluency in Spanish & English
- Experience in financing on behalf of financial institutions, including bilateral, club deal, syndicated, participated, trade finance, and factoring transactions.
- Familiarity with international banking services and products offered by financial institutions, including investments and relevant regulations (e.
g., Regulation S, Regulation R, Securities Act, Exchange Act).
- Broad legal background encompassing review and negotiation of vendor agreements, referral agreements, non-disclosure agreements, term sheets, commitment letters, and litigation support (subpoena and legal process responses).
- Proficiency in U.S. banking regulations, particularly those pertaining to the Florida Office of Financial Regulation, the Federal Reserve, U.
S. Department of Treasury, OFAC, BSA / AML, and federal and state privacy laws.
Knowledge of ISDA Master Agreements and schedules, LSTA forms, BAFT forms, and other financial instruments and products.
