Description
Contracts :
- Review, draft, negotiate, and manage a wide variety of contracts including, but not limited to, corporate agreements, commercial contracts, government contracts, consulting, marketing, licensing, privacy, leases, vendor agreements, non-disclosure, Cyber-and technical- service agreements, purchasing agreements, and other agreements
- Draft, maintain, structure, update, and manage contract templates
- Provide advice and counsel on contracts and relevant legal and regulatory requirements
- Ensure contract compliance with legal requirements and company policies
- Manage contract change requests, amendments and extensions
- Work directly with division and functional leaders and develop an in depth understanding of business unit activities
- Oversee and manage Paralegal, including tracking critical priorities and day to day assignments.
- Perform other tasks and duties as assigned
Procurement Support :
- Maintain data and information concerning responses to contract solicitations
- Prepare proposals, disclosures, and related certifications for government contracts
- Assist with the development of policies, practices, and controls for responding to procurement opportunities
- Understanding compliance risks and identifying control gaps related to regulatory and contractual requirements
Contracts Management :
- Develop contract review and approval processes, checklists and SOPs for consistency and alignment to company goals
- Develop existing agreement review SOPs for tracking term and termination, insurance, notice periods, and other critical terms to ensure contracts owners are alerted to ongoing obligations
- Working closely with IT, create and maintain a contracts database to track all Company contracts, including critical terms and timing for review
QUALIFICATIONS :
- Bachelor's Degree and J.D. from accredited universities
- License to practice law in California
- 4+ years of transaction / drafting experience
- Demonstrated ability to provide strategic advice and legal counsel on all aspects of contracts law
- Excellent communication skills, both written and verbal, with strong attention to detail
- Willingness to think outside of the box and to take on responsibilities outside your wheelhouse
- Strong interpersonal skills, along with the ability to communicate effectively with others at all levels of the organization (experience interacting at a senior level with business management teams a plus)
- Self-motivated with the ability to work well independently
- Ability to effectively and efficiently manage outside counsel
- Ability to support different of types of contracts including contracts for novel business arrangements, such as collaboration agreements
- Experience in solid waste industry preferred.
- Experience working with regulatory agencies preferred.
Salary : $150,000 - $175,000
