As a Legal Counsel for HYCU, you will play a critical role in ensuring that our business operations comply with legal requirements and that our interests are protected.

You will provide expert legal advice, manage contracts, mitigate risks, and contribute to strategic decision-making processes.

This role requires a deep understanding of SaaS business models, intellectual property law, contract law, data protection regulations and commercial negotiations.

Location :

Boston, MA (Hybrid; 3 days onsite / 2 days remote)

What You’ll Do :

  • Ensure HYCU's compliance with relevant laws and regulations governing SaaS businesses, including data protection laws, intellectual property rights, consumer protection laws and industry-specific regulations
  • Draft, review, negotiate, and finalize a wide range of contracts, including SaaS agreements, service level agreements (SLAs), terms of service, software licenses, partnership agreements, vendor contracts, SOWs and NDAs
  • Identify legal risks associated with business activities and develop strategies to mitigate those risks. Advise on risk management strategies and ensure appropriate risk allocation in contracts and agreements
  • Protect HYCU's intellectual property (IP) rights by managing trademark registrations, copyrights, patents, and trade secrets.

Conduct intellectual property due diligence for new products and services

  • Provide guidance on corporate governance matters, including board meetings, corporate filings, compliance policies and corporate structuring
  • Advise on data privacy and security issues, including GDPR compliance, data processing agreements, privacy policies, etc.
  • Conduct legal due diligence for mergers, acquisitions, investments, and partnerships. Assess legal risks and liabilities associated with potential transactions
  • What We’re Looking For :
  • Juris Doctor (JD) degree from an accredited law school (or equivalent) and member of the bar in good standing
  • Minimum of 7+ years of experience practicing law, with a focus on technology or SaaS companies strongly preferred.
  • Proven experience supporting sales organizations and customer contracts is a must have
  • In-depth knowledge of SaaS business models, including subscription agreements, licensing models and cloud computing
  • Strong understanding of intellectual property law, contract law, data protection regulations and commercial transactions
  • Strong expertise dealing with commercial contracts
  • Excellent negotiation, drafting, writing and communication skills
  • Ability to work independently and collaboratively in a fast-paced environment
  • Curiosity about technology and a desire to learn and impact functional areas across HYCU
  • Extreme attention to detail, and ability to prioritize, think, and act quickly while juggling multiple projects
  • High level of integrity, professionalism and ethical conduct

It’s Great if You Have :

  • B2B SaaS experience
  • Experience within data protection, cloud-native, security, data storage industries is a plus
  • Drive to build with fast-growing SaaS company
  • Employment law experience is a plus
