Job Details
We are seeking an experienced Corporate M&A Attorney to join our prestigious legal team. As a key player in our firm, you will be responsible for handling complex mergers and acquisitions transactions, providing strategic guidance, and ensuring successful deal closures.
Key Responsibilities
- Lead and manage all phases of M&A transactions, from due diligence and negotiation to drafting and finalizing agreements.
- Provide legal advice and expertise on corporate governance, compliance, and regulatory matters.
- Assess risks and opportunities associated with potential transactions and develop effective strategies to mitigate risks.
- Collaborate with cross-functional teams, including finance, tax, and business development, to achieve deal objectives.
- Conduct thorough legal research to stay current with industry trends and regulations.
- Draft, review, and negotiate various transaction documents, including purchase agreements, shareholder agreements, and disclosure schedules.
- Cultivate strong relationships with clients and provide them with sound legal counsel tailored to their business goals.
Qualifications
- Juris Doctor (JD) degree and active bar membership.
- Minimum of 5 years of experience in corporate M&A law.
- Proven track record of successfully executing complex M&A transactions.
- Strong understanding of corporate finance, tax, and securities laws.
- Exceptional analytical and problem-solving skills.
- Excellent negotiation and communication abilities.
- Ability to work effectively both independently and as part of a collaborative team.
- Dedication to delivering high-quality legal services with a client-focused approach.
