Corporate Counsel

OVERVIEW
Blue Yonder is seeking a highly motivated Corporate Counsel who is enthusiastic about technology and working with a SaaS company to join its dynamic global legal department and support its Procurement and Strategic Sourcing Team.
The successful candidate will report to the Associate General Counsel, Vendor Transactions based in Dallas, Texas. You will be a key partner with the Procurement and Strategic Sourcing Team in helping Blue Yonder negotiate high-value technology and other commercial agreements.
The position is remote with a preferred location of either Dallas, TX or Scottsdale, AZ.
RESPONSIBILITIES :
- Draft, review, and negotiate various commercial agreements, including software license, SaaS, consulting services / SOWs, professional / framework services agreements, hardware, teaming agreements, standard terms and conditions, service level agreements, subcontractor, partner, supplier, and non-disclosure agreements.
- Lead the negotiation of agreements with relevant suppliers, and other stakeholders.
- Own the contingent worker and on-boarding process along with providing legal advice and support to our recruiting and associate success (human resources) teams.
- Address legal queries and provide time-sensitive support to internal stakeholders relating to a variety of topics that impact the company’s North American or Global operations, including various aspects of the law, compliance, intellectual property, and privacy.
- Ensure company standards and processes are followed during the contracting process.
- Collaborate with fellow attorneys and other internal stakeholders to develop and maintain templates, playbooks, contracting policies, negotiation practices, and escalation procedures.
- Provide strategic advice and counseling to internal clients.
- Maintain up to date knowledge of industry-related legal issues.
- Perform other responsibilities and special projects in support of the legal team’s goals and initiatives.
QUALIFICATIONS
- JD; licensed to practice law and in good standing.
- At least 4 plus years’ experience drafting and negotiating technology related transactional experience. In-house experience supporting a sales or procurement team for a North American based technology corporation preferred.
- Excellent negotiation and drafting skills and attention to detail.
- Exposure to software license, SaaS, consulting services / SOWs agreements or other commercial agreements with complex intellectual property, licensing, privacy, indemnity, and liability issues.
- A self-starter with excellent communication skills and ability to establish relationships within the legal department and across all business functions worldwide.
Ability to confidently explain legal concepts to the business.
- Ability to work efficiently to meet deadlines in a fast-paced, collaborative environment, prioritize work, and adjust to frequent workload fluctuations across multiple time zones.

The salary range information provided, reflects the anticipated base salary range for this position based on current national data.
Minimums and maximums may vary based on location. Individual salary will be commensurate with skills, experience, certifications or licenses and other relevant factors.
In addition, this role will be eligible to participate in either the annual performance bonus or commission program, determined by the nature of the position.
