Job Description :

  • Reporting to the Senior Manager of Stock Administration; the Senior Stock Administrator will have primary responsibility for the administration of three corporate equity programs across 65 countries which include options;
  • RSA's, executive performance RSUs; time-based RSUs and ESPP (9 countries). This position will provide equity data to functional groups for compliance with state;
  • federal and foreign regulations and security laws. Drive process with Legal; Payroll; Tax; Statutory Reporting; and Treasury;
  • so that all reporting meets statutory requirements. This position will provide reports for financial reporting; a variety of country regulatory filings (Malaysia ESOS filings;

China SAFE); and executive analysis (beneficial ownership; Proxy; and CD&A). Oversee the execution of grant transactions and blackout windows to ensure data accuracy and settlements.

Ensure compliance with internal and external audits. Please note, this is an onsite based position.

Specific responsibilities include :

Manage the ongoing administration of employee; executive and Board of Director stock programs; including planning and project managing implementation of new programs.

Assist in the preparation of reports for management and the Compensation Committee of the Board; regarding equity plans and grant analysis.

Prepare equity utilization projections and supporting analysis (i.e. burn rate; overhang; etc.)

Ongoing review and updates to all internal procedures and control documentation with regard to the management and administration of all company stock plans.

Manage monthly; quarterly; and yearly equity grant and vesting processes (RSUs; performance and NQ stock options).

Develop and deliver timely communication related to stock awards; including grant notification; terms and vesting events.

Provide equity data from Fidelity for SEC filings including Proxy; Section 16 reports.

Direct the company’s transfer agent in matters related to stock programs; such as plan reserve maintenance; restricted stock issuances;

and book entry accounts and releases and maintain share balance reserves for all company stock plans.

Familiar with the outsourced stock administration system (Fidelity desirable) and ensure smooth; accurate and timely settlement of daily transaction activity with stock administrator and our transfer agents for options;

executive performance options; RSUs and ESPP.

Provide reports from systems to meet internal and external requirements.

Partner with Compensation; HRIS; and Fidelity to develop new reports and internal review processes as needed.

Develop and enhance automation in all areas of stock administration for streamlining of processes.

Serve as primary contact for audit requests and assist in establishing; documenting; and maintaining control procedures associated with stock plan administration.

Provide analysis and reconciliation at accounting end periods.

Generate Section 16 filings and monitor 10b5-1 and preclearance activity.

Respond to executive and employee equity plan questions Participate in Stock Administration initiatives and contribute to program development.

Requirements :

12+ years of experience in stock administration : including stock options, restricted stock units and / or performance-based stock awards

Excellent communication skills and ability to communicate with all levels of the organization

Expertise in Microsoft Excel, Word and other Microsoft Office applications

Able to work independently, handle multiple priorities and apply good judgment

Function in a dynamic changing environment

Meticulous attention to detail and accuracy

Familiarity with China SAFE a plus

Experience with Fidelity desired

Preferred Education Background :

  • Certified Equity Professional certification preferred
  • College degree preferred

This is an onsite based position.

Additional Job Description :

Compensation and Benefits

The annual base salary range for this position is $103,000 - $182,000.

This position is also eligible for a discretionary annual bonus in accordance with relevant plan documents, and equity in accordance with equity plan documents and equity award agreements.
