Director of Commercial and Government Contracts and Compliance
Please note that our client would ideally like the qualified candidate to work out of the company's corporate headquarters in Tysons Corners, VA.
However, hybrid and remote candidates may be considered that live in other suburbs of northern VA.
Overall Summary
This position is responsible for the development, implementation, administration, and maintenance of Government contract administration systems and controls.
Oversees compliance of all contracts with applicable Federal Acquisition Regulations (FAR), the Defense Federal Acquisition Regulation Supplement (DFARS), other Agency FAR Supplements, and relevant flow down requirements from Federal, State and Local Government funded contracts.
Primary and Essential Duties and Responsibilities
Directs the administration of contracts
Participates in the development of bid strategies negotiates and develops agreements with partners, subcontractors and team members with the assistance of Corporate Counsel
Evaluates the compliance of policies, practices and standards to meet business objectives and still remain within legal and Governmental requirements
Analyzes unique requirements and assesses areas of risk
Guides and controls the effective utilization of human resources including staffing, assignment, performance and department training
Advises the Senior Vice President and General Counsel on Government contracts and compliance issues
Advises and provides guidance to assist management with Government contracts compliance efforts
Oversees the administration and maintenance of compliance and Government contract compliance systems and controls, including but not limited to;
written standards, policies and procedures, monitoring, and education and training
Drafts and reviews written Government contracts compliance standards, policies and procedures
Assists with Government contracts compliance monitoring and internal audits, prepares audit reports, conducts audit follow ups, implements audit corrections
Prepares Government contract compliance training materials, conducts training
Ensures compliance with the Federal Acquisition Regulations (FAR), the Defense Federal Acquisition Regulation Supplement (DFARS), other Agency FAR Supplements, and relevant flow down requirement from federal, state and local Government funded contracts
Oversees Government contract compliance submissions and certifications, including; Representations and Certifications, and Small Business Subcontracting Plans and Reports, Cost or Pricing Data, Data other than Cost or Pricing Data, and other required submissions and certifications
Conducts Government contract compliance and other compliance related risk assessments
Coordinates external Government contract compliance audits and responses to
Government inquiries
Assists in the resolution of Government contract compliance issues
Keeps up-to-date on current Government contract compliance issues and best practices and emerging requirements, recommends program changes and best practice improvements to the Senior Vice President and General Counsel
Conducts Government Compliance reviews of Requests for Proposal (RFPs) and Solicitations
Conducts internal reviews focused on Government internal controls, asset safeguarding, and compliance with procedures, regulations and laws
Supports, communicates, reinforces and defends the mission, values and culture of the organization
Cross-Functional Role Responsibilities
Prepares government and non-government related contracts for review, approval, and use by SVP & General Counsel or Corporate Counsel, including, buy-sell agreements, leases, commercial contracts, non-disclosure agreements, PIA’s, teaming agreements, joint venture agreements, license agreements and consulting agreements
Reviews and negotiates customer-drafted contracts
Participates in legal and government compliance due diligence on acquisition targets, including reviewing documents, identifying issues, and drafting due diligence memoranda
Assists with renewal of company insurance policies
Assists with risk management duties
Maintains records of company intellectual property and correspondence with IP counsel
Prepares various documents and maintains document files
Secondary Duties and Responsibilities
May participate in cross-functional team and work groups
Supervisory Responsibilities
Responsible for the supervision, development and training of Contracts & Compliance managers
Years Experience
Level of Education
Minimum 15 years related experience BA, MA in Supply Chain or JD a plus
and or training, or equivalent combination of education and experience
Excellent leadership and oral and written communication skills
JD or Masters’s Degree in Legal Studies / Administration, or a business related curriculum. Certificate in Contract Management or other formal education related to law, government contracting compliance or corporate compliance preferred.
Mergers and acquisitions experience preferred
Familiarity with Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulations Supplement (DFARS) and other Agency FAR Supplements preferred
Ability to communicate effectively with management and personnel at all levels
Strong time management skills
Ability to manage multiple projects and deadlines
Strong work ethic and the ability to work independently
High degree of personal and professional integrity and ethics
Experience and proficiency with online legal research tools, including internet sites and either Westlaw or Lexis

Possesses strong computer skills with demonstrated proficiency in standard business software packages (e.g., Microsoft Office)
