Job Overview :

A law firm seeks a dedicated and experienced Venture Capital and Emerging Companies Associate Attorney to join its San Francisco office.

The ideal candidate will have a strong venture capital background, demonstrating the ability to lead deal teams and manage transactions from inception through closing.

The successful applicant will exhibit excellent communication skills, solid client-facing abilities, a proactive approach to problem-solving, and the capability to work independently and within multidisciplinary teams.

Duties :

• Lead deal teams and manage transactions from inception through closing.
• Provide strategic advice and guidance to clients on venture capital and emerging company matters.
• Draft, review, and negotiate various legal documents, including investment agreements, shareholder agreements, and corporate governance documents.
• Conduct due diligence and advise clients on regulatory and compliance matters.
• Collaborate with clients to develop creative solutions to meet their business objectives and legal needs.
• Engage with multidisciplinary teams across the firm's capabilities and practice areas.
• Maintain strong client relationships and ensure client satisfaction.
• Stay updated on industry trends and legal developments in the venture capital sector.

Requirements :

• 4 years of solid venture capital industry experience.
• Demonstrated ability to lead deal teams and manage transactions from inception through closing.
• Excellent written and verbal communication skills.
• Strong client-facing skills with a demonstrated ability to deal directly with clients.
• Effective and efficient problem-solving capabilities with the ability to work independently and proactively.
• Ability to develop creative solutions to meet client and team needs.
• Excellent team player skills with the ability to work with multidisciplinary teams.
• Flexibility to engage and collaborate across the Firm’s capabilities and practice areas.
• Advanced knowledge of Excel, including cap table, exit waterfall, and other financial modeling tools.
• Bar membership in good standing in CA.

Education :

Juris Doctor (JD) degree from an accredited law school.

Certifications :

Active Bar membership in good standing in California.
