You will join a fast-paced in-house legal team to provide legal counseling and support for the Company’s global commercial activities.
You will be responsible for facilitating achievement of the Company’s business objectives through your legal support for dealings with customers, suppliers and other parties with whom the Company conducts business or maintains commercial relationships.
Reporting to the Company’s General Counsel, you will assist with a wide variety of Company legal matters.
What You'll Do :
- Draft and negotiate commercial agreements (NDAs, Master Purchase Agreements, Development Agreements, License Agreements , Supply Contracts, Distributor, Reseller and Sales Representative Agreements, Service Agreements, Consulting Agreements, etc.).
- Field inquiries regarding a wide variety of company concerns, including trade regulations, employment law, and intellectual property;
conduct research regarding such issues.
- Assist with the management of outside counsel in connection with litigation, investigations or other matters.
- Assist with the management of the existing intellectual property portfolio and assist R&D and Marketing executives in working with outside counsel with respect to new patent and trademark applications.
- Support parent and affiliate companies worldwide on corporate, commercial and other matters.
- Assist with corporate governance and M&A activity.
- Assist with other legal projects under direction of the General Counsel.
Requirements
What You'll Need To Bring :
- JD and admission to a state bar. If not an Oregon State Bar member, will need to apply for limited admission as House Counsel.
- 5+ years of experience (prior in-house legal experience strongly preferred).
- Experience drafting and negotiating a wide variety of commercial contracts. Experience managing public or private bid responses a plus.
- Strong client service and business acumen.
- Ability to drive business results and become a trusted business advisor.
- An efficient, cooperative negotiation style you will understand the business and the commercial objectives and you will have strong technical skills and this will allow you to understand what matters and what doesn’t.
- Superior communication skills (both written and verbal).
- Experience using legal operations software platforms desired.
