The Corporate Compliance Manager position is an in-office role at our Carmel, Indiana office.
Job Description
The Corporate Compliance Manager is responsible for managing the day-to-day operations of the corporate compliance section of the Legal and Compliance Department, including the preparation and submission of regulatory filings to state insurance departments, secretaries of state and state corporation divisions;
and research and disseminate critical compliance related information and updates to leaders across the Company.
In addition, this role will collaborate with the General Counsel and Secretary on matters related to the Company's Board of Directors, including Board resolutions and other documents critical to the function and success of the Board and Company.

Key Responsibilities
Corporate Management :
Assist the Corporate Secretary with Board matters, including, but not limited to, the creation, maintenance, and filing of corporate resolutions, certificates of incumbency, oaths of office, and conflict of interest disclosures;
preparation and delivery of meeting materials; and notice and delivery of critical information to all Board members; and maintenance of Board meeting minutes.
Corporate Reporting :
Direct the preparation and submission of corporate reporting for all states, including the Annual Company Profile Questionnaire, Corporate Governance Annual Disclosure, Annual Holding Company Data Calls and ORSA.
Work with other departments to obtain data for reporting, organize and maintain reporting schedules and checklists, and oversee the documentation and record-keeping processes related to reporting activities.
Company Licensing :
Direct the preparation of insurance company license (Certificate of Authority) applications and other related state license applications including, but not limited to, state business licenses and the renewals of all such licenses.
Regulatory Tracking :
Stay abreast of changes in insurance regulations and communicate relevant updates to stakeholders. Assess the impact of regulatory changes on the Company;
and work with staff to implement the changes.
Minimum Qualifications :
- Minimum 5 years' experience as a Paralegal or Compliance Professional in a corporate law firm or insurance company. 7+ years' experience strongly desired.
- Licensed Notary Public
- Self-motivated with ability to initiate research to resolve the issue or problem with little to no direction.
- Ability to communicate complex regulatory concepts effectively to different levels of stakeholders.
- Experience resolving questions and bringing together a multitude of details to complete complex projects while meeting deadlines.
- Expert experience with MS Word including being well-versed in layout functions and tools.
- Experience using Adobe Acrobat including proficiency with tools such as stamps, text touch up, and optical character recognition (OCR).
- Experience with virtual data rooms, including Intralinks.
- Proficient in the use of DocuSign.
- Experience in drafting resolutions and other corporate documents.
- Strong analytical and problem-solving skills, with the ability to exercise sound judgment.
- Attention to detail and ability to work in a fast-paced, deadline-driven environment.
- Experience in legal research and writing for a corporate law department or insurance compliance department or the equivalent.
- Experience with legislative and regulatory requirements for insurance and business licensing.
