About the Role

The New York Times Company has an opening for an attorney with 4 + years of broad corporate and securities experience, with a heavy concentration in securities laws matters, especially ’34 Act reporting and disclosure.

You will report to the Assistant General Counsel & Corporate Secretary.

Responsibilities :

Demonstrate support and understanding of our and a strong commitment to our mission to seek the truth and help people understand the world.

Play a key role in drafting and advising on filings with the Securities and Exchange Commission

Advise senior management on disclosure matters, including coordinating the review of earnings and other press releases, presentations, internal communications and other announcements.

Counsel the Treasury group on securities transactions, including debt offerings, banking agreements, pension management and other Treasury matters.

Provide support on matters relating to the board of directors and senior management, including with respect to the annual meeting of stockholders, corporate governance matters and legal entity management.

Provide legal counsel on a diverse range of matters related to day-to-day operations of the Company, and supporting senior management and various departments, including investor relations, finance, treasury, internal audit and human resources.

Assist with coverage of general corporate and commercial matters, including reviewing contracts, as the need arises, and support compliance efforts, including the development and ongoing review of policies and procedures and the implementation of training initiatives.

Play a leading role in managing the Company’s environmental, social and governance initiatives.

Basic Qualifications :

4+ years working in corporate and federal securities laws and requirements applicable to a public company.

Experience preparing annual and quarterly reports on ’34 Act reporting and disclosure, Forms 10-K and 10-Q, current reports on Form 8-K, proxy statements, Forms S-8, and Section 16 filings, Rule 144 filings and ensuring compliance with SEC and NYSE rules and regulations.

Demonstrated ability to organize, plan, coordinate and implement large and ongoing projects.

Experience with financial statements and accounting literature and comfortable discussing underlying financial statement concepts, including accounting and tax.

Undergraduate and J.D. degrees from ABA accredited law school.

A member of the New York bar, in good standing

Preferred Qualifications :

Previous in-house experience

Prior experience advising on executive compensation matters, including incentive plans and programs, equity administration and related public company disclosure considerations.

The annual base pay range for this role is between $180,000.00 and $210,000.00.
