The Capital One Legal Department is seeking an attorney for its Capital Markets Legal team to provide business, transactional and regulatory counsel support on capital markets transactions.
The successful candidate will become an advisor for Capital One’s Corporate Treasury team, focused on corporate capital markets transactions, including derivatives, funding, and balance sheet management for one of the top 10 banks in the country.
This position includes the opportunity to play a role in corporate-wide projects and initiatives and work with senior management and legal teams across the enterprise.
The role also includes managing outside counsel, engaging with trade / industry organizations and working with other internal groups such as Accounting, Risk, Compliance, Corporate Governance and Investor Relations.
The successful candidate must have strong legal and analytical skills, an ability to navigate novel legal and business situations, and the flexibility to simultaneously manage a wide range of projects while working seamlessly with our business and legal partners.
The successful candidate will work closely with multiple groups within Corporate Treasury as well as other teams across Capital One to identify legal and reputational risks, interpret applicable laws and regulations, deliver grounded legal assessments and provide thoughtful, creative and practical solutions and recommendations to support our business partners’ strategies.
Responsibilities Include :
Executing documentary and business diligence processes in support of a wide range of capital markets transactions and securities offerings for Capital One as issuer
Providing legal guidance on derivatives and payments matters, including : collateral operations, derivatives hedging programs, international payments, and swap dealer
Collaborating with business partners to maintain unsecured and securitization funding platforms
Advising on SEC filings such as securitization 10-Ks, 10-Ds and ABS-15Gs
Managing the drafting, negotiation and execution of redemption documents and other documents relating to capital markets functions
Implementing and monitoring repeatable, controlled processes for capital markets transactions, including with respect to due diligence
Counseling and advising Corporate Treasury on the impact of changes in laws and regulations
Interpreting and providing guidance on existing agreements and obligations
Providing strategic legal advice on complex and novel issues
Supervising process-oriented work of other legal professionals
Managing and coordinating outside counsel
Basic Qualifications :
Juris Doctorate from an accredited law school
Active member in good standing of at least one state bar
At least 3 years of experience in a law firm, in-house legal department or a combination with a focus on complex financial transactions, including regulatory, disclosure and compliance advice
Preferred Qualifications :
4+ years of experience providing advice and counsel on capital markets transactions within the financial services industry
Knowledge of Regulation AB and other laws and regulations applicable to asset-backed securities
Knowledge of derivatives transactions and legal documentation, including CFTC regulations relating to swap dealers

The minimum and maximum full-time annual salaries for this role are listed below, by location. Please note that this salary information is solely for candidates hired to perform work within one of these locations, and refers to the amount Capital One is willing to pay at the time of this posting.
Salaries for part-time roles will be prorated based upon the agreed upon number of hours to be regularly worked.
