Position Overview :
We are seeking an experienced Contracts Counsel for a fast-growing food manufacturing and distribution company based in Orange County, California.
This role is essential to support the company's rapid expansion by drafting, reviewing, and negotiating a wide range of corporate and commercial agreements.
The ideal candidate will have deep expertise in contract law, a keen eye for detail, and a proactive approach to risk mitigation.
Experience in a fast-paced, dynamic environment is a must, as the company is in a phase of hypergrowth.
Key Responsibilities :
- Drafting & Negotiating : Draft, review, and negotiate a wide range of corporate and commercial contracts, including supply agreements, distribution agreements, NDAs, vendor agreements, and licensing agreements.
- Risk Management : Identify and manage legal risks related to contractual obligations, ensuring that company interests are protected.
- Collaboration : Work closely with cross-functional teams (sales, procurement, operations, finance, etc.) to provide practical legal advice and guidance on business transactions.
- Contract Management : Maintain and manage the contract lifecycle, ensuring compliance with legal and company policies and procedures.
- Legal Support : Provide day-to-day legal support on business operations, regulatory compliance, and risk management, particularly as they relate to contracts and agreements.
- Dispute Resolution : Assist in resolving contractual disputes in coordination with external counsel when necessary.
- Corporate Governance : Provide legal counsel on corporate governance issues, helping ensure that the company remains compliant with applicable laws and regulations.
Qualifications :
- Juris Doctor (JD) from an accredited law school.
- Active membership in the California State Bar.
- Minimum of 5 years of relevant experience in contract drafting, negotiation, and review.
- Proven ability to manage multiple projects and meet tight deadlines in a fast-paced environment.
- Strong negotiation, communication, and interpersonal skills.
- High attention to detail and ability to identify risks and propose practical solutions.
- Ability to work both independently and as part of a collaborative team.
Preferred Skills :
- Familiarity with industry-specific regulations (e.g., FDA, USDA) related to food manufacturing and distribution.
- Experience working in a hypergrowth or fast-moving corporate environment.
- Strong business acumen and the ability to provide pragmatic legal advice.
